The following definitions apply unless the context requires otherwise:

“Act” means the Land Titles (Strata) Act 1967.

committing any offence under any other applicable law which creates offences in respect of bribery, corruption and/or fraudulent acts.

“Additional Property Tax” shall have the meaning ascribed to it in Clause 3.12.8(i).

“Applicable Premises” means such premises (being part (and not the whole) of the Building) which is assessed as a whole for the purpose of property tax, and of which the Premises forms part.

“Approved A&A Works” shall have the meaning ascribed to it in Clause 3.12.2

“Authorised Agent” shall have the meaning ascribed to it in Clause 3.7.5(iii)

“Authorised Persons” means, in relation to a person, the first-mentioned person’s officers, employees, visitors, permitted occupiers, contractors, subcontractors, or agents.

“Bank Guarantee” shall have the meaning ascribed to it in Clause 3.9.5

“Building” means the Land and the building on it, which location and name are specified in Item 4 of Schedule 1, and includes car parks, service, loading and other areas serving the building.

“Common Property” means:

(i) (if the Building is strata subdivided) the parts of the Building which are within the definition of common property under the Act; or

(ii) (if the Building is not strata subdivided) the parts of the Building which would reasonably be treated as common parts of the Building for common use or benefit if the Building had been strata subdivided.

“Conducting Media” means drains, sewers, conduits, flues, risers, gutters, gullies, channels, ducts, shafts, watercourses, pipes, cables, wires and mains.

“Effective Base Annual Rent” means the annual rent equivalent to the annual Effective Rent payable by the Tenant under this Lease.

“Effective Rent” in relation to any month of the Term, means the effective rent derived in the following manner:

“Electricity Deposit” shall have the meaning ascribed to it in Clause 3.7.5(iv)

“Entire Agreement” shall have the meaning ascribed to it in Clause 6.13.1

“Equipment” shall have the meaning ascribed to it in Clause 3.17.13(i).

“Fitting Out Guidelines” means all rules and regulations and guidelines prescribed by the JTC governing fitting-out and renovation works as supplemented, amended or varied from time to time by the JTC in its absolute discretion.

“Fitting Out Period” shall have the meaning ascribed to it in Clause 3.3.1

“Floor Area” means the floor area of the Premises specified in Item 6 of Schedule 1

“Force Majeure” means any circumstances beyond the reasonable control of the Landlord which directly or indirectly prevents or impedes the due performance of this Lease, including but without limitation to an act of God, flooding, national emergency, war, insurgency, civil commotion or riots.

“Head Landlord” means the President of the Republic of Singapore and his successors in office.

“Head Lease” means the State Lease entered into or to be entered into between the Head Landlord as lessor and JTC as lessee with respect to the Land, and includes all variations, supplements and/or modifications to the Head Lease.

“Head Lease Covenants” shall have the meaning ascribed to it in Clause 3.27.3.

“infectious disease”:

means any of the diseases specified in the First Schedule of the Infectious Diseases Act 1976; and

that is caused or is suspected to be caused by a micro-organism or any agent of disease; and

“Interest” means interest at the rate of ten per cent (10%) per annum or such other rate as may be reasonably determined by the Landlord from time to time at its discretion, calculated on a daily basis and on the basis of the actual number of days in the year (both before and after judgment).

“Interference” shall have the meaning ascribed to it in Clause 3.17.13(i).

“Item” means an item in Schedule 1

“JTC” means JTC Corporation, a body corporate incorporated under the Jurong Town Corporation Act 1968.

“JTC Documents” means the Letter of Offer, the Building Terms, Key Terms and Conditions, Special Terms and Conditions, JTC Lease, memorandum of lease and any variations, amendments, modifications and/or supplements thereof as may from time to time be made.

“JTC Lease” means the lease to be entered between JTC and the Landlord and any variations, amendments, modifications and/or supplements thereof as may from time to time be made.

“JTC Subletting Approval” means JTC’s letter dated ________________ relating to its subletting approval in respect of this Lease.

“JTC Termination Notice” shall have the meaning ascribed to it in Clause 6.3.1

“Land” means the land known as Private Lot No. A7015659 at Benoi Sector, also known as Government Survey Lot No. MK07-5463N.

“Landlord’s Common Facilities” means the mechanical and electrical services and other services, facilities and amenities (if any) provided by the Landlord to serve the Premises and the rest of the Building and for general use by or for the benefit of the Tenant and its permitted occupiers in common with other tenants, occupiers and users of the Building.

“Law” includes any present or future requirement of statute (including subsidiary legislation), regulations and directives or common law.

“Lease” means this Lease and includes any documents supplemental to it.

“Letter of Offer” means the letter dated 16 May 2023 granted by JTC to the Landlord for a licence and lease of the Land together with its annexures, and any variations amendments modifications and/or supplements thereof as may from time to time be made.

“month” means calendar month.

“Original Condition” means the original state and condition of the Premises or the Landlord’s installations in it (as may be the case) as at the date the Tenant first took possession of the Premises, being 15 August 2025

“permitted occupier” means any person on the Premises for any period expressly or by implication with the Tenant’s authority.

“Permitted Use” means the permitted use of the Premises specified in Item 9 of Schedule 1

“person” includes any individual, company, corporation, firm, partnership, joint venture, association, organisation, trust, state or agency of a state (in each case, whether or not having separate legal personality).

“Possession Date” shall have the meaning ascribed to it in Clause 3.2.1

“Premises” means the premises in the Building, described in Item 5 of Schedule 1, excluding the exterior faces of exterior walls, external faces of boundary walls and the roof.

“Renewal Term” shall have the meaning ascribed to it in Clause 6.11.1

“Rent” means the rent payable by the Tenant in accordance with Clause 3.1.1

“Requisite Consents” means those permissions, consents, approvals, licences, certificates and permits as may be necessary lawfully to commence, carry out and complete the Approved A&A Works.

“Revocation Notice” shall have the meaning ascribed to it in Clause 6.3.2

“Rules” means the rules and regulations (including changes thereto) relating to the safety, conduct and management of the Premises and/or the Building, which are made (or varied) from time to time by the Landlord and JTC.

“Security Deposit Amount” means the security deposit amount specified in Item 8 of Schedule 1.

“Supply” shall have the meaning ascribed to it in Clause 3.7.5(i)

“Taxes” means any goods and services tax, imposition, duty and levy, which may be imposed before, on or after the commencement of this Lease, by the relevant authority.

“Tenant’s Works” shall have the meaning ascribed to it in Clause 3.2.1

“Utilities” means electricity, water, sewerage and telecommunications.

Headings are for convenience only and do not affect interpretation. The following rules of interpretation apply unless the context requires otherwise:

The singular includes the plural and conversely.

A reference to the Landlord includes its successors and assigns and all persons entitled to possession of the Premises upon the expiry of this Lease. A reference to the Tenant includes its successors and permitted assigns.

A reference to a right or obligation of any two (2) or more persons confers that right or imposes that obligation, on each of them individually and both (or all) of them together.

Each schedule of and annexure to this Lease forms part of it.

References in this Lease to a clause are references where the context so admits to a clause in this Lease.

Reference to the whole includes part.

Every obligation by the Tenant is taken to include an obligation by the Tenant to ensure that each of its employees, agents, independent contractors, permitted occupiers and others under its control comply with that obligation.

If under this Lease or the Rules, the Tenant requires the consent or approval of the Landlord for any action, the Tenant must obtain it in writing before starting to take that action.

If under this Lease or the Rules, the consent or approval of the Landlord is required, the consent and approval of the Landlord may be given or withheld by the Landlord in its absolute discretion (unless this Lease provides otherwise) and upon such terms as the Landlord thinks is appropriate.

A reference to the consent or approval of the Landlord is taken to include, where applicable, the consent or approval of the Head Landlord and JTC, but nothing in this Lease will be taken to imply that any obligation is imposed upon the Head Landlord and JTC not to unreasonably withhold or refuse such consent or approval.

A right given to the Landlord to have access to the Premises extends to the Head Landlord, JTC and any persons authorised by the Landlord, the Head Landlord, and/or JTC, and includes the right to bring workmen, contractors and appliances onto the Premises. For the avoidance of doubt, where any right is given to the Landlord to have access to the Premises, the Tenant shall bear all costs and expenses incurred in making the necessary arrangements to allow the Landlord, the Head Landlord, JTC and any persons authorised by the Landlord, the Head Landlord and/or JTC, access to the Premises, unless otherwise expressly provided in the relevant provision.

A reference to an Act of Parliament refers to that Act as it applies at the date of this Lease and any later amendment or re-enactment of it.

A reference to a governmental or statutory authority or body existing as at the date of this Lease shall, where applicable, include the equivalent authority or body (by whatever name called) of such existing governmental or statutory authority or body.

The Landlord and the Tenant acknowledge that it is the intention of the Landlord and the Tenant that the Rent and other sums and charges payable by the Tenant under this Lease shall be absolutely net to the Landlord and that such amounts shall be paid without notice, demand, setoff, counterclaim, recoupment, abatement, suspension, deferment, diminution, deduction, reduction or defense, except as otherwise expressly permitted by this Lease.

Subject always to JTC’s consent to this Lease, the Landlord hereby lets the Premises to the Tenant for the Term in consideration of the Tenant paying to the Landlord the Rent in accordance with the provisions of Clause 3.1, subject to the Head Lease and to all other rights to which the Premises are subject, for the Term.

The Premises are let with the benefit of the following rights:

the right for the Tenant to use the Common Property to pass to and from the Premises only to the extent that it is necessary;

the right for the Tenant to use the toilet facilities (if any) in the Common Property;

the right for the Tenant to enjoy the benefit of the air-conditioning system (if any) installed in the Common Property; and

the rights mentioned in this Clause 2.2 may also be exercised by:

any persons authorised by the Tenant but only for proper purposes connected with the use or enjoyment of the Premises; and

Exceptions

The letting is subject to the following rights of the Landlord:

to run the Utilities and air-conditioning services and other services through the Conducting Media in the Premises;

to enter the Premises, referred to in Clause 3

of light, air, support, shelter and all other easements and rights belonging to or enjoyed by other parts of the Building;

to erect scaffolding for renovating, retrofitting, refurbishing, altering, repairing, cleaning or painting the Building even if the scaffolding temporarily restricts access to or the use and enjoyment of the Premises; and
搭建棚架以翻新、改装、翻新、改动、修葺、清洁或髹漆大厦,即使棚架暂时限制进入或使用及享用该处所;和
to build upon, alter, rebuild, develop or use the land adjoining the Building even if this affects the light and air coming to the Premises or causes nuisance, damage, annoyance or inconvenience to the Tenant or occupier of the Premises by noise, dust, vibration or otherwise.

The rights mentioned in Clause 2.3.1 may also be exercised by any persons authorised by the Landlord or any person who is or who becomes entitled to exercise them.

Condition of Premises

The Tenant shall accept the Premises in the Original Condition as at the date the Tenant first took possession of the Premises.

The Tenant must pay the Rent as follows:

the Rent payable shall be as specified in Item 10 of Schedule 1, which is calculated at the respective Rent Rates specified in Item 10 of Schedule 1 on the Floor Area;

the Rent shall be paid monthly in advance on the first day of each calendar month; and

If the commencement date of the Term:

falls on the first day of a calendar month, the first payment shall be a sum equivalent to the Rent for that calendar month; and

The Rent for any period less than one (1) month will be apportioned from the Rent on a daily basis (based on the actual number of days in that month).

Manner of Payment

The Tenant must pay the Rent (by cheque or by General Interbank Recurring Order (GIRO), telegraphic transfer, internet funds transfer or other electronic means of payment (as may be prescribed by the Landlord from time to time and notified to the Tenant in writing) at the Tenant’s cost to such account as the Landlord may from time to time specify in writing).

Upon signing this Lease, the Tenant must pay to the Landlord in advance one (1) full month’s Rent (including Taxes) for the period of one (1) month from the commencement of the Term amounting to S$43,543.39, and such amount shall be paid by way of partial set-off against the good faith deposit paid by the Tenant to the Landlord prior to the signing of this Lease

Delivery of Premises

The Landlord will grant, and the Tenant shall take, possession of the Premises on 15 August 2025 (or such other date as the Landlord may stipulate) (the “Possession Date”) for the purposes of carrying out the Tenant’s fitting out works (the “Tenant’s Works”).

Unless otherwise provided in this Lease or unless otherwise agreed between the Landlord and the Tenant, the Premises will be delivered to the Tenant as they stand on an “as is, where is” basis (subject to such modifications installed by the Tenant as referred to in Clause 3.4.2 and as the relevant authorities may require or direct).

Fitting Out Period

The Landlord will grant the Tenant a fitting out period of two (2) months and sixteen (16) days (the “Fitting Out Period”) from (and including) the Possession Date for the purpose of carrying out the Tenant’s Works. Except as otherwise provided in this Lease, the Tenant shall not be required to pay Rent for the entire duration of the Fitting Out Period. Where possession is granted to the Tenant during the Fitting Out Period, the Tenant shall take possession of the Premises solely as a licensee and solely for the purposes of carrying out the Tenant’s Works.
房东将给予租户自占有日期起两 (2) 个月零十六 (16) 天 (“ 装修期 ”) 的装修期,以便进行租户的工程。除非本租约另有规定,否则租户无需在整个装修期内支付租金。如租客在装修期间获批管有,承租人须仅以持牌人身份管有该处所,并仅作进行租客的工程之用。
The Tenant may at any time after the Possession Date and prior to the commencement of the Term, after giving at least fourteen (14) days’ prior written notice to the Landlord, occupy the Premises or any part thereof and commence business thereat during the Fitting Out Period. The Tenant’s notice must:

specify the date on which the Tenant intends to commence business; and

be accompanied by the Tenant's architect's written confirmation that (I) the Tenant's Works at the Premises have been completed in accordance with the plans approved by the relevant authorities and (II) all necessary government approvals for the Tenant's Works have all been obtained and duly complied with by the Tenant.

If this Lease is:

prematurely terminated by the Tenant for any reason whatsoever; or

then, in addition and without prejudice to any other right which the Landlord may have under this Lease or the general law, the Tenant must on demand pay to the Landlord as a debt due an amount equivalent to the amount of Rent which would have been payable for the Premises during the Fitting Out Period as if the Fitting Out Period had formed part of the Term.

Tenant’s Works

The Tenant’s Works must be carried out by the Tenant at its own cost and expense.

Without prejudice to anything contained in this Lease, the Landlord shall use reasonable endeavours to allow the Tenant to carry out minor fitting out works such as security cameras installation prior to the Possession Date

The Tenant must not:

carry out works involving or affecting the structure or exterior of the Premises; or

carry out works involving the hacking of the floors or the structural columns and beams of the Premises.

The Tenant must not carry out the Tenant’s Works to the interior of the Premises (including the Landlord’s installations in it), without the prior written approval of JTC, the Landlord and the relevant authorities.

The Tenant’s Works must comply with the Fitting Out Guidelines

The Tenant must give the plans and specifications for the proposed Tenant’s Works to the Landlord for approval before the Tenant submits them to JTC or the relevant authorities for their approval (if required). The Landlord is entitled to appoint consultants to advise on the plans and specifications and for the purpose of supervising all works carried out by the Tenant. If consultants are appointed, the Tenant must pay to the Landlord immediately on demand the fees charged by the Landlord’s consultants for advising on the plans and specifications and for the purpose of supervising all works carried out by the Tenant.

The approval of JTC and/or the relevant authorities (if required) must be applied for and obtained by the Tenant at its own cost and expense.

The Tenant must:

at its own cost and expense, effect or procure to be effected before the commencement of the Tenant’s Works and maintain or procure to be maintained throughout the Fitting Out Period, a comprehensive public liability insurance policy against claims for personal injury, death or property damage or loss arising out of the Tenant’s Works in an amount of not less than S$1,000,000 (or such higher amount specified by the Landlord or the JTC) in respect of any one occurrence, for the period from the commencement to completion of the Tenant’s Works;

ensure that the policy is at all times effected and maintained with a reputable insurance company in Singapore approved by the Landlord, naming the Landlord and the Tenant’s contractors as co-insured parties for their respective rights and interests and must include:

a provision for waiver of subrogation against the Landlord

The Tenant’s Works must only be carried out by:

a specialist contractor or consultant nominated by the Landlord and appointed by the Tenant for structural, mechanical, electrical and engineering works and works which may affect any part of the Building or the plant and/or equipment thereat which are, or are to be covered by warranties issued in favour of the Landlord; and

The fees and expenses of the contractors and the consultants appointed by the Tenant pursuant to this Clause 3.4.9 shall be borne by the Tenant and forthwith paid by the Tenant when they fall due. Such contractors and consultants appointed by the Tenant shall not be deemed to be agents or employees of the Landlord, and the Tenant shall have no claim whatsoever against the Landlord in respect of any act, omission, default, misconduct or negligence of such contractors or consultants.

The Tenant must carry out and complete the Tenant’s Works:

in accordance with the plans and specifications approved by JTC, the Landlord, the Landlord’s consultants (if appointed) and the relevant authorities;

in accordance with the Fitting Out Guidelines;

with due diligence and in a good and workmanlike manner so as not to cause any obstruction or interference with the works of other tenants or occupiers of the Building; and

in compliance with all applicable laws, regulations and requirements of JTC and the relevant authorities.

The Tenant must allow JTC, the Landlord and its employees or agents, at all reasonable times, to enter into and inspect the Premises to ascertain if the Tenant’s Works are carried out in accordance with this Clause 3.4. The Tenant must take all necessary steps to rectify any default of this Clause 3.4 upon receipt of a notice by the Landlord or the JTC.

The Tenant must indemnify and keep indemnified the Landlord against:

failure to obtain approvals from JTC and the relevant authorities in relation to the Tenant’s Works or failure to comply with the terms and conditions imposed by JTC and/or the relevant authorities as a condition to their approval;
未有就承租人的工程取得会长及有关当局的批准,或未能遵守会长会及/或有关当局所施加的条款及条件,作为其批准的条件;
any claims, demands or proceedings brought by any adjoining owner, tenant, occupier or member of the public arising out of or incidental to the carrying out of the Tenant’s Works; and

all claims, demands, actions, proceedings, judgments, damages, losses, costs and expenses of any nature which the Landlord may suffer or incur for death, injury, loss and/or damage caused directly or indirectly by the Tenant's execution of the Tenant’s Works.

No delay or failure in carrying out or completing the Tenant’s Works within the Fitting Out Period shall be a ground for postponing the commencement of the Term or the payment of Rent and other monies payable under this Lease. It will also not relieve the Tenant from complying with the Tenant’s obligations under this Lease.
租客在装修期内延迟或未能进行或完成工程,不得成为推迟租期开始或根据本租约支付租金和其他应支付款项的理由。这也不会免除承租人遵守承租人在本租约项下的义务。
(i) Immediately on completion of the Tenant’s Works, the Tenant must submit to the Landlord as-built drawings which have been endorsed by the consultants appointed by the Tenant pursuant to Clause 3.4.9 above relating to the Tenant’s Works.

(ii) If the Tenant fails to comply with Clause 3.4.14(i) above, the Landlord may take all action necessary (including appointing consultants to prepare the relevant as-built drawings and making payments to the Tenant’s consultants) for submission of such as-built drawings to the relevant authority. All costs incurred by the Landlord must be paid by the Tenant to the Landlord immediately on demand.

Interest
利息
If the Tenant does not pay the Rent or any other sums owing to the Landlord under this Lease within fourteen (14) days after the due date (whether or not formally demanded) or if the Landlord refuses to accept the tender of Rent or any other sums owing to the Landlord under this Lease because of a default by the Tenant under this Lease, the Tenant must pay the Interest on that sum as from the due date until the sum is paid to, or accepted by, the Landlord. Such Interest shall be recoverable from the Tenant as if it is rent in arrears. Where payment of Rent or any other sums owing to the Landlord is effected by means of GIRO, telegraphic transfer, internet funds transfer or other electronic means of payment pursuant to Clause 3.1.2, the crediting of such amounts to the Landlord’s designated account under such electronic payment arrangements shall be without prejudice to any other remedy which the Landlord may otherwise have against the Tenant, including but not limited to the right of the Landlord to refuse to accept the tender of any Rent or other sums owing to the Landlord under this Lease regardless of the fact that such amount has been credited to the Landlord’s account under such electronic payment arrangements.

Nothing in Clause 3.5.1 entitles the Tenant to withhold or delay any payment or affects the rights of the Landlord in relation to non-payment.

Taxes

In addition to the Rent and other sums payable under this Lease, the Tenant must pay the Landlord immediately on demand, the Taxes payable by the Landlord in respect of:

any sum payable under this Lease; and/or

the occupation and lease of the Premises.

The Taxes are recoverable as if they are rent where they are charged on:

Utilities

(i) If the Premises are metered for the Utilities, the Tenant must pay the utilities deposit and all utilities charges (including any Taxes on it) in respect of the Utilities supplied to the Premises, to the relevant service provider, body or authority supplying such Utilities.

If the Premises are metered for the Utilities, and the Utilities are supplied to the Premises pursuant to a master account entered into between the Landlord and the relevant service provider, body or authority supplying such Utilities, the Tenant shall pay to the Landlord (i) all utilities charges (including any Taxes on it) in respect of the Utilities supplied to the Premises on a pass-through basis and without any mark-up and (ii) the utilities deposit (or a proportionate part thereof as may be agreed between the Landlord and Tenant to be attributable to the Premises, each acting reasonably) payable by the Landlord to the relevant service provider, body or authority supplying such Utilities.

The utilities charges (including any Taxes on it) and the utilities deposit payable by the Tenant will be calculated by the Landlord and notified to the Tenant by a statement from the Landlord in writing. The statement is final and binding on the Tenant as to the amount stated, save for manifest error.
租户应支付的水电费(包括任何税费)和水电费押金将由房东计算,并通过房东的书面声明通知租户。该声明是最终的,并且对所规定的金额对租户具有约束力,但明显错误除外。
The Tenant must pay, or reimburse the Landlord for, all costs and expenses incurred in connection with the installation, testing and maintenance of any meters for Utilities supplied to the Premises.

The Tenant shall keep any meters for Utilities supplied to the Premises in good and substantial repair and condition.

If the Premises are not separately metered for the Utilities, the Tenant must pay to the Landlord a proportionate part of the utilities charges (including any Taxes on it) which is determined by the Landlord to be attributable to the Premises. The utilities charges (including any Taxes on it) payable by the Tenant will be calculated by the Landlord and notified to the Tenant by a statement from the Landlord in writing. The statement is final and binding on the Tenant as to the amount stated, save for manifest error. For the avoidance of doubt, nothing herein shall be construed to impose an obligation on the Landlord to supply or to arrange for Utilities to be supplied to the Premises, unless expressly agreed to by the Landlord.

Without affecting the provisions of Clauses 3.7.1 and 3.7.4, the Landlord may, at its discretion and on behalf of the tenants of the Building, arrange for the purchase of bulk electricity for the Building from an electricity retailer (whether through the Landlord or the anchor tenant for the time being of the Building), in which case, the following provisions shall apply:

the Tenant authorises the Landlord to act as its agent to arrange for and procure an electricity supply to the Premises (the “Supply”) and for this purpose, the Landlord shall be entitled to make such arrangements and enter into such agreements on such terms and conditions as the Landlord considers appropriate at its sole discretion but nothing herein shall be construed to render the Landlord a retailer or supplier of electricity to the Tenant;

the Tenant must accept the Landlord’s choice of electricity retailer, and sign all relevant agreements, consents and/or authorisation forms as may be required by the Landlord for the purpose;

the Tenant must observe and comply with any and all terms imposed by the electricity retailer and/or the Landlord (as notified in writing by the Landlord to the Tenant from time to time) in connection with the Supply. The Tenant shall address all queries in connection with the Supply to any person authorised for the time being by the Landlord to act as the Landlord’s agent (the “Authorised Agent”) in relation to the Supply;

the Tenant shall, within seven (7) days of the Landlord’s request, deposit with the Landlord an amount (the “Electricity Deposit”) equal to 1.5 times the amount of the monthly charges (including applicable Taxes) estimated by the Landlord as payable by the Tenant in relation to the Supply. The Landlord may from time to time review and adjust the amount of the Electricity Deposit. In addition to the Landlord’s other rights and remedies, the Landlord may (but is not obliged to) apply the Electricity Deposit (or any part thereof) in or towards making good any breach by the Tenant of the terms imposed by the electricity retailer and/or the Landlord (as notified in writing by the Landlord to the Tenant from time to time) in connection with the Supply or any loss or damage suffered by the Landlord occasioned by such breach. If the Electricity Deposit is for any reason reduced below the amount required by the Landlord, the Tenant shall pay the Landlord the amount of the deficit within seven (7) days of the Landlord’s request. The Electricity Deposit shall be refunded without interest, and after proper deductions by the Landlord, to the Tenant within one (1) month after the expiry of this Lease;

the Tenant agrees to pay to the Landlord all charges for the Supply based on the readings of the electricity meter or sub-meter installed at the Premises and at such rate as may be determined by the Landlord to be payable and the Tenant shall also pay the Landlord an administrative fee for the electricity procurement services rendered by the Landlord, such administrative fee to be determined by the Landlord from time to time acting in good faith. The administrative fee shall be included within the charges stated as payable by the Tenant in each statement rendered by the Landlord and the Landlord shall not be obliged to provide the Tenant with a breakdown of the charges in any statement. The statement shall be accepted by the Tenant as final and conclusive as to the amount thereof;

the Tenant shall pay the Landlord the charges for the Supply in each statement, together with Taxes thereon, by the due date stated in the statement failing which the Tenant shall pay Interest on the outstanding amount from the due date until the outstanding amount is paid (whether before or after judgment and without prejudice to any other rights or remedies which the Landlord may be entitled). In addition, the Landlord may charge a fee for each reminder sent to the Tenant;

the Tenant shall not tamper with or do any act which may affect the accuracy of the electricity meter or sub-meter installed at the Premises. The Tenant shall:

pay, or reimburse the Landlord for, all costs and expenses incurred in connection with the installation, testing and maintenance of any meters or sub-meters for the Supply; and

bear the costs of repairing or replacing any meter or sub-meter at the Premises;

the Landlord will read the Tenant's meter every month and compute the monthly kWh consumption. If the electricity meter does not in the reasonable opinion of the Landlord correctly register the amount of electricity supplied to the Premises in respect of any period, the Landlord shall be entitled to charge the Tenant such sum as the Landlord shall assess and/or revise for such period;

the Tenant accepts that neither the Landlord nor the Authorised Agent is a generator, supplier or retailer of electricity and neither shall accordingly have any responsibility for any equipment malfunction or be liable for any loss or damage whatsoever caused by any Supply or any failure, interruption or termination in the Supply; and

if at any time during the Term, the Landlord’s arrangement for the purchase of bulk electricity for the Building is terminated for any reason whatsoever, the Landlord shall not incur any liability to the Tenant whatsoever for such termination and the Tenant must arrange for and procure its own supply of electricity to the Premises.

The Landlord shall be entitled to terminate utilities supply to the Premises if the Tenant shall fail to pay any part of the utilities charges and taxes in respect of supply thereof payable by the Tenant under this Clause 3.7 for more than seven (7) days after the due date of such payments, without prejudice to any other rights, remedies or recourse that the Landlord may have in respect of such failure to pay.

Property Tax

The Tenant must pay to the Landlord immediately on demand, any additional property tax imposed by the relevant authority on the Premises, or (in the event property tax is not separately assessed on the Premises) apportioned by the Landlord as attributable to the Premises, in respect of the Term, which is payable on account of:

the annual value assessed by the relevant government authority or apportioned by the Landlord as attributable to the Premises (whether on first assessment by the relevant government authority or as increased from time to time, whether retrospective or otherwise) which is in excess of the Effective Base Annual Rent;

Such additional property tax shall be recoverable from the Tenant as if it is rent.

The liability of the Tenant to pay the additional property tax in respect of the Term will not be affected by the expiry or earlier termination of this Lease.

Objection to any assessment of annual value or imposition of property tax on the Premises during the Term may only be made by the Landlord in its sole discretion.

If the property tax is not separately assessed on the Premises, the Landlord will determine the property tax amount to be apportioned to the Premises based on the proportion which the Floor Area bears to the net lettable area of (i) the Building or (ii) the Applicable Premises (as the case may be) and taking into account any Additional Property Tax, and the Landlord’s determination of the apportionment shall be accepted by the Tenant as final and conclusive (save for manifest error).

Security Deposit

The Tenant must pay to and maintain with the Landlord the Security Deposit Amount specified in Item 8 of Schedule 1

as security for compliance by the Tenant of all the provisions in this Lease; and

to secure or indemnify the Landlord against:

any loss or damage resulting from any default by the Tenant under this Lease; and

any claim by the Landlord at any time against the Tenant in relation to any matter arising out of or in connection with the Premises.

The provisions of this Clause 3.9.1 shall survive the termination of this Lease.

If any default by the Tenant under this Lease occurs, the Landlord is entitled (but not obliged) to apply the whole or part of the Security Deposit Amount in or towards making good any loss or damage sustained by the Landlord as a result of that default and any expense incurred by the Landlord in making good the loss and damage, in any manner as may be determined by the Landlord

The Security Deposit Amount must at all times during the Term be maintained at the sum equivalent to three (3) months’ Rent.

If the Security Deposit Amount (or any part thereof) is applied in or towards rectifying any breach by the Tenant of its obligations under this Lease, the Tenant must pay to the Landlord within seven (7) days of demand such amount as may be necessary to maintain the Security Deposit Amount at the applicable amount

The Landlord has agreed, strictly as an indulgence, to allow the Tenant to furnish to the Landlord, a bank guarantee (the “Bank Guarantee”) instead of cash payment for the whole of the Security Deposit Amount, subject to the following conditions:

the Bank Guarantee must be irrevocable and unconditional, issued by a bank carrying on business in Singapore and acceptable to the Landlord;

the Bank Guarantee must be in the form and must contain the terms set out in Annexure B

the Landlord is entitled at any time to:

demand payment of the sum guaranteed under the Bank Guarantee;

apply the sum so received as the cash payment by the Tenant of the Security Deposit Amount; and

utilise the sum so received in accordance with the provisions of this Lease; and

the Landlord reserves the right to withdraw the aforesaid indulgence at any time and to revert to strict adherence to the terms set out in this Lease.

In the event the Security Deposit Amount is furnished by way of a bank guarantee(s), at the end of the Term, the Landlord shall return the bank guarantee(s) to the Tenant for cancellation within one (1) month after the expiry of the claim period under such bank guarantee(s) and without prejudice to the Landlord’s other rights, provided that there is no subsisting claim or outstanding liabilities under such bank guarantee(s). In the event that the Security Deposit Amount is furnished in cash, the Landlord must repay to the Tenant, the Security Deposit Amount, without interest and after proper deductions by the Landlord, within one (1) month after the end of this Lease if the Tenant has then paid all sums owing and performed all other obligations under this Lease to the satisfaction of the Landlord. For the avoidance of doubt, any repayment of the Security Deposit Amount is without prejudice to any claim or demand which the Landlord may have against the Tenant.

The Tenant must not set-off any part of the Security Deposit Amount against any Rent or other sums owing to the Landlord.

The rights of the Landlord under this Clause 3.9 are in addition to and will not affect the other rights of the Landlord under this Lease.

Insurance

The Tenant must take out and maintain during the Term the following policies:

a comprehensive public liability insurance policy against claims for personal injury, death or property damage or loss, arising out of all operations of the Tenant in the Premises, for an amount not less than S$1,000,000 in respect of any one (1) occurrence (or such higher amount specified by the Landlord or the JTC); and
一份全面的公共责任保险单,针对因租户在场所内的所有作而引起的人身伤害、死亡或财产损失或损失索赔,金额不少于 1,000,000 新元,涉及任何一 (1) 次事件(或房东或 JTC 指定的更高金额);和
a property insurance policy with “all-risks” insurance coverage on the Tenant’s property against physical loss or damage.

The policies must be taken out and maintained at the Tenant’s cost and expense in the joint names of the Landlord and the Tenant with a reputable insurance company in Singapore approved by the Landlord.

The policies must include:

a provision for waiver of subrogation against the Landlord;

a provision that the liability of the insurer to pay under such policy must not be affected by the act, default, omission or negligence of any party to such policy;

the legal liability of the Tenant for loss or damage to the Premises (including all fixtures and fittings in it), by the deletion from the policy of the relevant exclusion relating to the property in the care, custody or control of the Tenant or any employee of the Tenant; and

a cross liability provision so that each of the Landlord and the Tenant shall be considered a separate and distinct person and all references to “insured persons” under the policy shall be considered as applying to each of the Landlord and the Tenant in the same manner as if a separate policy had been issued to each of them.

The Tenant must insure with a reputable insurance company in Singapore approved by the Landlord and keep insured at the Tenant’s own cost and expense all the property of the Tenant at the Premises against damage by fire and such other risks as required by Law or JTC or as the Landlord deems necessary.

The Tenant must at its own cost and expense take out and keep in force any other insurances as may be required by Law or JTC or as may be agreed in writing by the Tenant and the Landlord (each acting reasonably) in connection with the Premises or the activities and operations carried out in the Premises

The Tenant must give the Landlord satisfactory documentary evidence of the above policies and the receipt for the premium paid in respect of the above policies (i) on or before the commencement of the Term and forthwith upon every renewal thereof or (ii) at any time immediately on demand.

In the event the Tenant fails to comply with any of its obligations under Clauses 3.10.1 to 3.10.6, the Landlord shall be entitled (but not obliged) to take out any of the above policies required to be taken up by the Tenant and which the Tenant has failed to do so, and all expenses so incurred by the Landlord including payments for the premium payable in respect of such policies together with Interest from the date of expenditure until the date they are paid by the Tenant to the Landlord, shall be recoverable from the Tenant as if they were rent.

The Tenant shall forthwith cause all monies received by virtue of the insurance policies effected by the Tenant under Clauses 3.10.1, 3.10.4 and 3.10.5, or any of them, to be laid out and expended for the repair of any damage caused to (i) the property on the Premises (whether belonging to the Tenant or the Landlord) or (ii) the Premises (or any part thereof). The Tenant shall promptly carry out such repair with due diligence to the satisfaction of the Landlord and the Tenant shall make up for any deficiency out of the Tenant’s own monies.

Nothing herein shall render the Landlord liable for the correctness or adequacy of all or any of the above insurance policies or for ensuring that they comply with all relevant legislation pertaining to insurance.

The Tenant shall not do or suffer to be done anything whereby any of the above insurance policies may be rendered void or voidable.

The Tenant acknowledges and agrees that the Tenant shall have no claim (whether caused by negligence or other causes) against the Landlord to the extent that any loss or liability which is the subject matter of such claim is covered by a policy.

Repair

The Tenant must:

keep the Premises clean and tidy and forthwith comply with the Landlord’s and/or JTC’s direction to remove and clear any materials, goods or articles of whatever nature and description from the Premises and/or the Building;

keep the Premises, including all fixtures and fittings in it (which shall include, inter alia, the air conditioning system and light bulbs) and the Conducting Media in and serving the Premises, in good and substantial repair and condition (except for fair wear and tear); and

immediately make good, to the satisfaction of the Landlord, any damage caused to the Premises (including the Landlord’s fixtures, fittings and installations in it) or any other part of the Building by the Tenant, its employees, agents, independent contractors or any permitted occupier.

The Tenant’s obligations in Clause 3.11.1 extend to all improvements and additions to the Premises and all the Landlord’s fixtures, fittings and appurtenances of whatever nature affixed or fastened to the Premises.

If any damage or injury is caused to the Landlord or to any person whomsoever directly or indirectly on account of the condition of any part of the interior of the Premises (including flooring, walls, ceiling, doors, windows and other fixtures), the Tenant is to be wholly responsible for such damage or injury and to fully indemnify the Landlord against all claims, demands, actions and legal proceedings whatsoever made upon the Landlord by any person in respect thereof. In the interpretation and application of the provisions of this Clause 3.11.3, the decision of the surveyor or architect of the Landlord shall be final and binding upon the Tenant.

Alterations
改动
During the Term, The Tenant must not:

make any alterations or additions to or affecting the structure or exterior of the Premises;

carry out works involving the hacking of the floors or the structural columns and beams of the Premises; or
进行涉及砍伐处所的地板或结构柱和横梁的工程;或
make any alterations or additions which adversely affect the maintenance costs or value of the Building or the provision of the Landlord’s Common Facilities.

The Tenant must not make any alterations or additions to or affecting the interior of the Premises (including the Landlord’s installations in it), without the prior approval of the Landlord and (where necessary) JTC and other relevant authorities. The approved alterations and additions (the “Approved A&A Works”) must be carried out by the Tenant at its own cost and expense.

The Tenant must give plans and specifications for the proposed alterations or additions to the Landlord for approval before the Tenant submits them to JTC or any relevant authority for approval (if required). The Landlord is entitled to appoint consultants to advise on the plans and specifications and for the purpose of supervising all works carried out by the Tenant. If consultants are appointed, the Tenant must pay to the Landlord immediately on demand, the fees charged by the Landlord’s consultants for advising on the plans and specifications and for the purpose of supervising all works carried out by the Tenant.

The approval of JTC and/or any other relevant authority (if required) must be applied for and obtained by the Tenant at its own cost and expense.

All alterations and additions must only be carried out by:

a specialist contractor or consultant nominated by the Landlord and appointed by the Tenant for structural, mechanical, electrical and engineering works and works which may affect any part of the Building or the plant and/or equipment thereat which are, or are to be covered by warranties issued in favour of the Landlord; and

The fees and expenses of the contractors and the consultants appointed by the Tenant pursuant to this Clause 3.12.5 shall be borne by the Tenant and forthwith paid by the Tenant when they fall due. Such contractors and consultants appointed by the Tenant shall not be deemed to be agents or employees of the Landlord, and the Tenant shall have no claim whatsoever against the Landlord in respect of any act, omission, default, misconduct or negligence of such contractors or consultants.

The Tenant must carry out and complete all alterations and additions to the Premises:

in accordance with the plans and specifications approved by the Landlord, the Landlord’s consultants (if appointed), JTC and other relevant authorities (if required);

with good and suitable materials of a type, quality, colour and standard set out in the plans and specifications approved by the Landlord

in accordance with the Requisite Consents in relation to the Approved A&A Works;

in compliance with the Law.

Without prejudice to the generality of Clause 3.23, the Tenant shall indemnify and keep the Landlord indemnified against:

Landlord’s Right of Inspection and Repair

The Tenant must allow the Landlord and/or JTC to enter the Premises at all reasonable times:

to establish if the provisions of this Lease have been observed;

If the Tenant has failed to do anything which is the responsibility or liability of the Tenant, the Tenant must carry out the necessary works with all due diligence within the time period specified in the Landlord’s notice, to the satisfaction of the Landlord. The Tenant shall pay for all costs incurred by the Landlord in relation to the inspection of the Premises or otherwise in respect of the preparation of such notice.

The Tenant shall indemnify the Landlord against all claims, demands, actions, proceedings, judgements, damages, losses, costs and expenses of any nature which the Landlord may suffer or incur, and all penalties or fines imposed by any competent authority resulting from carrying out the necessary works

Landlord’s Right of Entry for Repairs

The Tenant must allow the Landlord and/or JTC to enter the Premises at all reasonable times after giving to the Tenant prior notice (except in an emergency where no prior notice is required):

to carry out any works relating to the Conducting Media and to install additional Conducting Media;

Notwithstanding the foregoing, the Tenant must allow JTC and its employees, agents, contractors and subcontractors and their employees and JTC’s authorised lessees, tenants and licensees and their employees, contractors and subcontractors, the right at any time to enter and work upon the Premises and/or Building free of charge for the purposes stipulated in the Easement (as defined in the JTC Documents).

In carrying out the works, the Landlord will cause as little disturbance to the use of the Premises by the Tenant as is reasonably possible in the circumstances.

Yielding Up of the Premises at the end of the Term

In all other cases, the removal and reinstatement works in respect of the Premises shall be carried out by a contractor nominated and appointed by the Tenant and approved by the Landlord.

At the expiry or earlier termination of the Term, the Tenant must vacate the Premises and give the Premises back to the Landlord together with all keys of the Premises.

(i) If the Tenant fails to comply with Clauses 3.15.1 and 3.15.2, the Landlord may carry out the necessary works at the Tenant’s cost and expense.

Permitted Use

The Tenant must not use or permit to be used the Premises for any purpose except for the Permitted Use specified in Item 9 of Schedule 1 for the business of the Tenant or such other use as may be approved by the Landlord and JTC only.

Fire Safety

The Tenant must keep the Premises including its fixtures, fittings, installations and appliances in a safe condition by adopting all necessary measures to prevent an outbreak of fire in the Premises, and to this end, the Tenant must at the Tenant’s cost and expense comply with all requirements of the Landlord, the Fire Safety & Shelter Department, JTC and/or other relevant body or authority.

Prevention of Infectious Diseases

The Tenant must take all steps and measures, at the Tenant’s cost and expense, to prevent any outbreak, spread or any transmission whatsoever of any infectious disease (including, but not limited to, thoroughly fumigating and disinfecting the Premises to the satisfaction of the Landlord and/or relevant authorities) and to this end, without affecting Clause 3.22, to promptly comply, at the Tenant’s cost and expense, with the Law and all guidelines, rules and requirements of the relevant authorities from time to time relating to the prevention of any outbreak and/or spread of such infectious diseases.

The Tenant must forthwith give notice to the Landlord and the relevant authorities if the Tenant is aware or suspects that any person is suffering or has died from or is a carrier or a contact of, or is at risk of infection from, an infectious disease and to provide such other information or particulars as may be required by the Landlord and/or the relevant authorities.

Advertisements and Signs

The Tenant must not display any name, sign, notice or advertisement inside the Premises (including the windows) which can be seen from outside the Premises nor any name, sign, notice or advertisement outside the Premises, except with the prior consent of the Landlord (which may be granted on such conditions as the Landlord may impose including payment of signage fees) and (where required) JTC and the relevant authorities, and in a style and manner and at a location previously approved by the Landlord. The Tenant must comply with all applicable laws, regulations and requirements of JTC and any other relevant government authorities for display of any name, sign, notice or advertisement inside (if it can be seen from outside the Premises) or outside the Premises.

If the Tenant displays any name, sign, notice or advertisement in default of Clause 3.20.1, the Tenant must allow the Landlord to enter the Premises to remove them and pay to the Landlord immediately on demand, the Landlord’s costs and expenses of doing so and if unpaid, such costs and expenses shall be recoverable from the Tenant as if they are rent in arrears.

The Tenant must, at any time, allow all persons authorised by the Landlord or its agents to view the Premises at all reasonable times with prior notice in connection with any sale or letting of the Premises or part thereof.

Compliance with the Law and Statutory Notices

The Tenant must not do, omit, permit or cause to be done or omitted any act, matter or thing in, upon or at the Premises and/or the Building which shall contravene the Law, but to promptly comply and ensure compliance, at its cost and expense, with the Law and all requirements of the relevant authority in force at the moment relating to:

Without affecting the generality of Clause 3.22.1, the Tenant must not allow the Premises to be used as a place in which any person is employed in contravention of the Immigration Act 1959, the Employment of Foreign Manpower Act 1990 or any other Law in force at the moment.

If the Tenant for any reason fails to comply with Clause 3.22, the Landlord may in its absolute discretion (but without being under any obligation to do so) and without prejudice to any other rights and remedies the Landlord may have against the Tenant, perform the same or any part of it as the Landlord may deem fit and all costs and expenses incurred by the Landlord will be a debt due and payable immediately by the Tenant to the Landlord, and such payment will be recoverable from the Tenant as if it is rent in arrears.

Indemnity by Tenant

The Tenant shall indemnify and keep indemnified the Landlord from and against (i) all liability, claims, demands, actions, proceedings, judgements, damages, losses, costs and expenses of any nature which the Landlord may suffer or incur for death, injury, loss and/or damage caused (directly or indirectly) by, and (ii) all penalties or fines imposed by any competent authority resulting from:

Assignment and Subletting or other Dealings

The Tenant shall not assign this Lease, or sublet or license, or part with or share possession of, or mortgage or charge, or grant any security interest over, or otherwise howsoever deal with, the whole or any part of the Premises.
承租人不得转让本租约,或转租或许可,或放弃或分享对房屋的管有权、抵押或押记,或授予对房屋全部或任何部分的任何担保权益,或以其他方式处理。
For the purposes of Clause 3.24.1, where the Tenant is a company, any amalgamation and/or reconstruction effected by the Tenant or any change in the majority or controlling shareholders of the Tenant shall be deemed to be an assignment of this Lease.

The provisions of section 17 of the Conveyancing and Law of Property Act 1886 shall not apply to the lease of the Premises and this Lease.

Car Park

The Landlord may prohibit the Tenant from parking at the Land and/or Building other than in designated parking areas edged in green on the attached plan(s) marked Annexure A

The Tenant must comply with all rules and regulations imposed by the Landlord or (if applicable) the operator of the car park for the time being for the management and operation of the car parks in the Land and/or Building.

No Lodgement of Caveat, Registration of Lease and Subdivision

The Tenant must not lodge a caveat in respect of this Lease nor register this Lease at the Singapore Land Authority, whether before or during the Term. The Tenant undertakes to immediately withdraw any caveats lodged in default of this Clause 3.26.1 at its own cost and expense.
承租人不得就本租约提出警告,也不得在期限之前或期间向新加坡土地管理局登记本租约。承租人承诺立即撤回因违反本条款第 3.26.1 条而提出的任何警告 ,费用自费。
The Tenant must not require the Landlord to subdivide the Building or do any act which could result in the Landlord being required to subdivide the Building.

The Landlord and the Tenant hereby agree and acknowledge that this Lease does not operate as a lease capable of registration under the provisions of the Land Titles Act 1993 of Singapore or any other Law.

Obligations under the JTC Subletting Approval and JTC Documents

The Tenant shall comply with, perform, observe and be bound by the terms and conditions (if any):

imposed by the JTC in granting its consent to the sublease of the Premises, including the terms and conditions set forth in (or incorporated into) the JTC Subletting Approval; and

imposed by any other relevant authority (whose approval or clearance is required by the JTC) to the occupation and/or use of the Premises by the Tenant.

The Tenant shall indemnify the Landlord from and against all costs, loss, damages and expenses suffered by the Landlord as a result of the Tenant’s breach of this Clause 3.27.1

Compliance with JTC Documents

The Tenant shall:

observe and perform the covenants and conditions on the part of the Landlord contained in the JTC Documents insofar as they relate to the Premises or the operations or activities carried out at the Premises;

not omit suffer or permit in relation to the Premises or the operations or activities carried out at the Premises, any act or thing which would or might cause the Landlord to be in breach of its covenants under the JTC Documents or which if done omitted suffered or permitted by the Tenant would or might constitute a breach of any of the covenants or conditions on the part of the Landlord contained in the JTC Documents; and

In the event of any default by the Tenant in the performance or observance of the provisions of this Clause 3.27.2, the Landlord may carry out such remedial measures as the Landlord thinks necessary and the Tenant shall pay to the Landlord on demand the costs and expenses of so doing together with Interest from the date of expenditure until payment by the Tenant to the Landlord (such costs, expenses and Interest thereon to be recoverable as if they were rent in arrears).

The Tenant agrees that JTC’s rights, qualifications and restrictions under the JTC Documents in relation to the Land and in relation to JTC’s obligations thereunder are hereby expressly reserved and shall bind the Tenant as though they have been expressly incorporated herein, and this Lease is granted subject to such rights of JTC.

Compliance with Head Lease

The Tenant shall at its own cost and expense perform and observe the express and implied covenants on JTC’s part in the Head Lease (“Head Lease Covenants”) and conditions between the President of the Republic of Singapore and JTC so far as they are not specifically and expressly varied in the JTC Documents insofar as they relate to the Premises or the operations or activities carried out at the Premises. The Tenant shall not breach nor in any manner cause or permit a breach of the Head Lease Covenants and conditions.

If the Landlord has assigned its rights under this Lease (whether by way of security or otherwise), the Tenant must, if so required by the assignee, acknowledge receipt of the notice of assignment served by the assignee or the assignor (as the case may be) on the Tenant pursuant to the assignment, such acknowledgement to be given in the form and manner stipulated by the assignee or the assignor (as the case may be)

No Interruption

If the Tenant pays the Rent, and complies with the Tenant’s obligations in this Lease, the Tenant may occupy and use the Premises throughout the Term without any interruption by the Landlord, except as provided in this Lease.

Management of the Building

Subject to the provisions of Clauses 5.1 and 5.2, the Landlord shall:

No Claim by Tenant

Notwithstanding anything contained in this Lease, the Landlord is not liable to the Tenant and the Tenant must not claim against the Landlord for any death, injury, loss or damage (including indirect, consequential and special losses) which the Tenant may suffer in respect of any of the following (whether caused by negligence or other causes):

Extent of Landlord’s Liability

Without prejudice to the provisions of Clause 5.1, the Landlord is not responsible to the Tenant or to its employees, independent contractors, agents or permitted occupier nor to any other persons for any death, injury, loss or damage sustained at or originating from the Premises or the Building directly or indirectly caused by, resulting from or in connection with:

OTHER TERMS

Re-entry

The Tenant will be in default under this Lease if, during the Term:

the Tenant fails to pay the Rent or any other sum payable under this Lease within seven (7) days after the due date (whether or not formally demanded); or

the Tenant fails to comply with any of its other obligations under this Lease and (where the breach is capable of remedy) fails to make good the default within seven (7) days after the Landlord has given to the Tenant notice to do so; or

any distress or execution is levied on the Tenant’s property and is not discharged within fourteen (14) days; or

an event of insolvency occur(s) in relation to the Tenant.

If any of the above events occurs, the Landlord may re-enter and take possession of the Premises (or any part of it) at any time (even if any previous right of re-entry has been waived) and immediately on such re-entry, this Lease will end.

The exercise by the Landlord of its right of re-entry will not affect any other rights of the Landlord against the Tenant (including the rights in respect of the default under which the re-entry is made).

The Tenant must indemnify the Landlord from and against all costs, losses, damages and expenses (including loss of Rent which would have been payable by the Tenant if the Term had been completed and all costs and expenses incurred for reletting or attempted reletting of the Premises), suffered by the Landlord as a result of the Landlord exercising its right of re-entry. This indemnity will not affect the other rights of the Landlord against the Tenant.

The phrase “an event of insolvency”, in relation to the Tenant, includes:

inability of the Tenant to pay its debts as and when they fall due;

Landlord’s right to deal with the Building

The Tenant must not:

enforce any agreement between the Landlord and others relating to other parts of the Building let by the Landlord to others; or

limit or affect the rights of the Landlord to (a) deal with other premises in the Building and (b) impose and vary the terms and conditions in respect of such dealing in any manner which the Landlord thinks is appropriate.

If the Landlord wishes to (i) redevelop, renovate, retrofit, refurbish or alter the whole or part of the Building (including the plant and facilities in it and/or changing the arrangement, location or converting the use of the Landlord’s Common Facilities (or any one or more of them)) or the whole or part of the Premises or (ii) change the use of the whole or part of the Building or the whole or part of the Premises:

(a) the Landlord may do so as long as proper means of access to and from the Premises are given (even if such may be temporarily restricted) and essential services are maintained at all times; or

(b) the Landlord may terminate this Lease, without compensation, by giving to the Tenant six (6) months’ prior notice. Termination of Letter of Offer or JTC Lease by JTC

terminates the lease granted to the Landlord under the Letter of Offer or JTC Lease, and in connection therewith, gives notice in writing thereof to the Landlord (the “JTC Termination Notice”);

notifies the Landlord of the revocation of its consent to the sublease of the Premises by the Landlord to the Tenant (the “Revocation Notice”); or

On (i) the expiry date of the JTC Termination Notice or (ii) the expiry date of the Revocation Notice or (iii) the date of JTC’s re-entry into the Land, whichever date is the earliest, the Term and this Lease will terminate, without affecting the rights of the Landlord against the Tenant for any previous default by the Tenant arising out of or in connection with this Lease, and without JTC or the Landlord being liable to the Tenant for any inconvenience, loss, damage, cost, expense or compensation in connection with the termination of this Lease pursuant to this Clause 6.3

Government Acquisition

Removal of property after the end of Lease

If after the Tenant has vacated the Premises at the expiry or earlier determination of the Term, any property of the Tenant remains on the Premises, the Landlord may as agent of the Tenant, deal with and dispose of the property in any manner which the Landlord thinks is appropriate at the Tenant’s cost and expense.

The Tenant must indemnify the Landlord against any liability incurred by the Landlord to any third party whose property is dealt with or disposed of by the Landlord in the mistaken belief (which will be presumed unless the contrary is proved) that such property belonged to the Tenant.

A notice given under this Lease must be in writing.

Any notice will be treated as served:

Payments

The Tenant must pay to the Landlord promptly as and when due, without demand, deduction, setoff, or counterclaim, all sums due and payable by the Tenant to the Landlord under this Lease. The Tenant must not exercise any right or claim to withhold the Rent, or any right or claim to legal or equitable setoff.

Floor Area

For the purpose of this Lease, the Landlord and the Tenant agree to accept the Floor Area specified in Item 6 of Schedule 1 as final and conclusive

Costs and Expenses

The Tenant agrees to pay the Landlord (on a full indemnity basis), immediately on demand:

Damage or Destruction

If the Premises are destroyed or damaged by fire:

the Tenant will not be liable to pay the Rent so long as the Premises cannot be used or are inaccessible due to the damage for a period of more than one (1) month; or

if the Premises are only partly usable due to the damage for a period of more than one (1) month, the Tenant’s liability for the Rent will be reduced, while the Premises are not fully usable, in proportion to the reduction in their usability caused by the damage.

Termination of Lease

If the Premises are destroyed or damaged and the Landlord, in its absolute discretion, decides that the damage is such as to make its repair impracticable or undesirable, the Landlord may, within ninety (90) days after such damage has been sustained, terminate this Lease, without compensation, by giving not less than seven (7) days’ notice to the Tenant.

Upon such termination, the Tenant must (if still in occupation) vacate the Premises.

Damage by Tenant

Despite Clauses 6.10.1 and 6.10.2, the Tenant will not be entitled to a reduction in the Rent if:

the damage or destruction is caused by; or

Arbitration

Any dispute arising out of or in connection with this Clause 6.10 will be referred to and finally resolved by arbitration and determined by a single arbitrator in Singapore conducted in English by a single arbitrator pursuant to the Arbitration Rules of the Singapore International Arbitration Centre for the time being in force, which rules are deemed to be incorporated by reference in this clause.

Option to Renew

the Tenant gives a notice to the Landlord, not less than six (6) months and not more than nine (9) months before the expiry date of the Term, that it requires a further lease;

has no intentions to (I) redevelop, renovate, retrofit, refurbish or alter the whole or part of the Building (including the plant and facilities in it) or the whole or part of the Premises or (II) to change the use of the whole or part of the Building; and

is desirous of reletting the Premises at the end of this Lease; and

at the date of the Tenant’s notice of renewal and at the expiry date of the Term, the Tenant is not in default under this Lease,

the Landlord will grant the Tenant, at the Tenant’s cost and expense, a further lease of the whole (and not part only) of the Premises for a further period of one (1) year (the “Renewal Term”).

The Landlord’s written confirmation of its intentions and desire referred to in Clause 6.11.1(iii) is final and binding on the Tenant.

The Renewal Term will be subject to the following conditions:

the renewal rent will be at 1.5% rental escalation of the Rent;

within two (2) weeks of receipt of the Landlord’s proposal for the other terms and conditions of the further lease, the Tenant must inform the Landlord, in writing, whether the other terms and conditions are acceptable

if the Landlord’s proposal for the other terms and conditions is accepted by the Tenant in time, the Tenant must sign the new document for the further lease within two (2) weeks from (and including) the date of the Tenant’s receipt of the document from the Landlord. In the event the Tenant does not return the signed document for the further lease within the two (2) week period, the Tenant will be treated as if it is no longer interested in a further lease and the Landlord will be free to end all negotiations with the Tenant for the further lease and shall be entitled without reference to the Tenant to lease the Premises to any party or parties and on such terms as it in its absolute discretion deems fit. All stamp duty, legal costs and other costs and expenses in respect of such lease or agreement for lease must be paid by the Tenant to the Landlord immediately on demand.

If after the new document for the further lease has been signed but before the commencement of the Renewal Term, the Tenant is in default of any of the provisions of this Lease, the Landlord is entitled to terminate the further lease for the Renewal Term by giving notice to the Tenant. Upon receipt of the notice, the Renewal Term will be terminated without affecting the other rights of the Landlord against the Tenant in respect of the default. The Landlord will not be liable for any loss, damage, cost, expense or compensation in connection with the termination.

No Waiver
无弃权
The Landlord’s consent or waiver to any default by the Tenant of its obligations in this Lease is only effective if it is in writing. Mere knowledge or consent by conduct (expressed or implied) of the Landlord of such default by the Tenant will not be implied or treated as a waiver.
房东同意或放弃承租人违约本租约中的任何义务,只有在书面形式的情况下才有效。房东仅通过行为(明示或暗示)知道或同意租户的此类违约行为不会被暗示或被视为弃权。
Such written consent or waiver by the Landlord must not be taken as a consent or waiver to:

another default by the Tenant of the same obligation; or

a default by the Tenant of another obligation in this Lease.

The Landlord will not be treated as waiving its right to proceed against the Tenant in respect of any default by the Tenant of its obligations in this Lease, if the Landlord accepts the Rent or any other sum payable by the Tenant in this Lease.

Representations

The following documents together form the entire agreement (the “Entire Agreement”) between the Landlord and the Tenant relating to the Premises:

any side letter(s) and all other ancillary or supplemental documents or letters relating to this Lease made between the parties on or after the date of this Lease.

The Landlord is not bound by any representations or promises with respect to the Building or the Premises if they are not stated in the Entire Agreement whether written or oral, express or implied by common law, statute or custom.

The Tenant confirms that it has not agreed to or executed this Lease relying on any representation made by the Landlord or on its behalf which is not stated in the Entire Agreement.

Nothing in this Lease or in any consent granted by the Landlord implies that the Premises may be used for any particular purpose.

Name of Building

The Landlord may name the Building or change the name of the Building at any time.

The Tenant must obtain the Landlord’s prior consent to:

use the then current name of the Building as part of its business name; or

use a name, trade mark or service mark which includes the then current name of the Building or a similar sounding name or derivative of the name for any purpose; or

use any picture or likeness of the Building or the Premises in its logo, trade mark or other mark or sign or for any other purpose; or

include references to the Building or illustrations of it in any of the Tenant’s publicity or promotional materials relating to the Tenant’s business in the Premises.

If the Landlord gives its consent to any matter under Clause 6.14.2, upon the expiry or earlier termination of this Lease (unless renewed), the Tenant must immediately take steps to cease such use or reference.

Rules of Building

The Landlord or the JTC may make and vary the Rules at any time.

The Tenant must comply with the Rules and ensure that its employees, agents, independent contractors and permitted occupiers comply with the Rules.

The Landlord is not liable to the Tenant for violation of the Rules by any person (including other tenants or occupiers of the Building) or the employees, agents, independent contractors, invitees or licensees of such person.

The provisions of this Lease will prevail where there is inconsistency between such provisions and the Rules.

Outer Doors of the Building
建筑物的外门
If the Tenant wants to enter the Premises, the Tenant must comply with the security measures imposed by the Landlord.
如果租户想进入该处所,租户必须遵守房东施加的安全措施。
For security reasons, the Landlord may prevent access to the Building (including the closure of the outer doors of the Building) at any time and for so long as the Landlord thinks is necessary.
出于安全原因,房东可以随时阻止进入大厦(包括关闭大厦的外门),只要房东认为有必要。
Holding Over

the Tenant continues to occupy the Premises or fails to deliver vacant possession of the Premises after the end of this Lease;

the Landlord consents to such holding over; and

there is no express agreement between the Landlord and the Tenant,

the occupation by the Tenant will be by way of a monthly tenancy.

During such period of holding over:

the Tenant must pay the Landlord, at the Landlord’s option, and whether notice to that effect has been given or not:

double the amount of the Rent; or

double the prevailing market rent for the Premises (as determined by the Landlord);

the other provisions of this Lease will continue to apply; and

either party may terminate the tenancy by giving one month’s notice to the other party.

Such holding over will not be treated as a renewal of this Lease whether by operation of law or pursuant to the provisions of this Lease.

Landlord may Assign

The Landlord is entitled to transfer (whether by an assignment or novation) its rights and obligations in this Lease.

Upon such transfer, the Tenant:

is treated to have consented to such transfer;

must accept any transferee of the Landlord as its new landlord;

must release the Landlord from all its obligations in this Lease, particularly, the Landlord’s obligation to refund the Security Deposit Amount and other sums under this Lease; and

must become a party to and sign any agreement with the Landlord and its transferee relating to the said transfer, if required by the Landlord. Save for the Landlord bearing the cost and expense incurred in the preparation of such agreement, the Landlord and the Tenant shall each bear its own legal, professional and other costs and expenses incurred by it in connection with the transfer (whether by an assignment or novation) of the Landlord’s rights and obligations in this Lease.
如果房东要求,必须成为房东及其受让人的一方并与房东及其受让人签署与上述转让有关的任何协议。除房东承担在准备此类协议时产生的成本和开支外,房东和租户应各自承担其因转让(无论是通过转让还是更新)房东在本租约中的权利和义务而产生的法律、专业和其他成本和费用。
Confidentiality

The Tenant shall keep the terms of this Lease, all communications, negotiations, discussions and correspondences between the Tenant and the Landlord and any matter or information in relation to this Lease strictly confidential and the Tenant must not disclose any detail to a third party without the Landlord’s prior written consent, except where such disclosure:
承租人应严格保密本租约的条款、承租人与房东之间的所有沟通、谈判、讨论和通信,以及与本租约有关的任何事项或信息,未经房东事先书面同意,承租人不得向第三方披露任何细节,除非此类披露:
is required by any Law or any governmental or statutory authority;
任何法律或任何政府或法定机构要求;
is required in connection with any legal proceedings or any legal process issued by any court or any governmental or statutory authority; and
与任何法院或任何政府或法定机构发出的任何法律程序或任何法律程序有关;和
is required in connection with any information contained in any document to be filed with any governmental or statutory authority and/or is required pursuant to any applicable Laws or pursuant to the requirements of any governmental or statutory authority or pursuant to rules or regulations of any relevant regulatory, administrative or supervisory body (including without limitation, any relevant stock exchange or securities council).
就向任何政府或法定机关存档的任何文件所载的任何资料而言,及/或根据任何适用法律或根据任何政府或法定机关的要求,或根据任何相关监管、行政或监督机构(包括但不限于, 任何相关证券交易所或证券委员会)。
Unenforceability and Severance
不可执行性和遣散费
The illegality, invalidity or unenforceability of any provision in this Lease under the law of any jurisdiction will not affect:
根据任何司法管辖区的法律,本租约中任何条款的非法性、无效性或不可执行性将不会影响:
the legality, validity or enforceability of that provision under the law of any other jurisdiction; or
该条文在任何其他司法管辖区的法律下的合法性、有效性或可执行性;或
the legality, validity or enforceability of any of the other provisions in this Lease.
本租约中任何其他条款的合法性、有效性或可执行性。
Contracts (Rights of Third Parties) Act 2001
2001 年合同(第三方权利)法
A person who is not a party to this Lease has no right under the Contracts (Rights of Third Parties) Act 2001 to enjoy or enforce any term of this Lease except and to the extent (if any) where this Lease expressly provides for the Contracts (Rights of Third Parties) Act 2001 to apply to any of its terms.
根据《2001 年合同(第三方权利)法》,非本租约一方的人无权享受或执行本租约的任何条款 , 除非本租约明确规定 《2001 年合同(第三方权利)法 》适用于其任何条款。
Notwithstanding any of the provisions of this Lease, the consent of any third party is not required for any rescission or variation (including any release or compromise of any liability under) of the provisions of this Lease nor for the termination of this Lease.
尽管本租约有任何规定,但任何撤销或更改(包括免除或妥协任何责任)本租约条文或终止本租约均无须获得任何第三方的同意。
Governing Law and Submission to Jurisdiction
适用法律和服从管辖权
This Lease shall be governed by and construed in accordance with the laws of the Republic of Singapore.
本租赁应受新加坡共和国法律管辖并按其解释。
The parties agree to submit to the jurisdiction of the courts of the Republic of Singapore.
双方同意服从新加坡共和国法院的管辖权。
Anti-Bribery
反贿赂
The Tenant represents, warrants and undertakes now and hereafter that:
承租人现在和以后声明、保证和承诺:
the Tenant and its employees or agents have not committed, or procured or encouraged third parties to commit, any Act of Bribery in relation to this Lease or its subject matter; and
承租人及其 雇员或代理人没有就本租约或其标的物作出或促使或鼓励第三方作出任何贿赂行为;及
the Tenant shall ensure that it and its employees and agents shall not commit, or procure or encourage third parties to commit, any Act of Bribery in relation to this Lease or its subject matter.
承租人应确保其及其雇员和代理人不得实施或促使或鼓励第三方实施与本租约或其标的物有关的任何贿赂行为。
The Tenant expressly agrees and declares that without prejudice to the other rights and remedies of the Landlord, Clause 6.23.1 is a fundamental condition of this Lease. In the event the Tenant fails to observe or perform any of the provisions of Clause 6.23.1, the Landlord shall be entitled to terminate this Lease, without compensation, by giving notice to the Tenant. The exercise by the Landlord of its right of termination hereunder will not affect any other rights of the Landlord against the Tenant.
承租人明确同意并声明,在不影响房东的其他权利和补救措施的情况下,第 6.23.1 条是本租约的基本条件。如果承租人未能遵守或履行第 6.23.1 条的任何规定,房东有权通过通知承租人终止本租约,无需支付任何补偿。房东行使本协议项下的终止权不会影响房东对租户的任何其他权利。
The Tenant must indemnify the Landlord from and against all costs, losses, damages and expenses (including loss of Rent which would have been payable by the Tenant if the Term had been completed and all costs and expenses incurred for reletting or attempted reletting of the Premises), suffered by the Landlord as a result of the Landlord exercising its right of termination. This indemnity will not affect the other rights of the Landlord against the Tenant.
承租人必须赔偿房东因房东行使终止权而遭受的所有费用、损失、损害和开支(包括租客在期限已满时应支付的租金损失,以及因重新出租或试图重新出租房屋而产生的所有成本和开支)。这项赔偿不会影响房东对租户的其他权利。
The Tenant shall immediately notify the Landlord in the event of any Act of Bribery committed by the Landlord’s employees or agents in relation to this Lease or its subject matter. In the event the Tenant is able to furnish sufficient evidence to demonstrate the Act of Bribery committed by the Landlord’s employees or agents, the Tenant shall take adequate steps to protect the interests of both parties.
如果房东的雇员或代理人就本租约或其标的物实施任何贿赂行为,承租人应立即通知房东。如果承租人能够提供足够的证据证明房东的雇员或代理人实施了贿赂行为,承租人应采取适当措施保护双方的利益。
Right to Distrain
限制权
For the purpose of the Distress Act 1934 and of these presents, all monies payable under this Lease (including Taxes) and the Interest payable on late payments shall be deemed to be rent recoverable in the manner provided in the Distress Act 1934 and all such monies shall be deemed to be rent in arrears if not paid in advance or at the times and in the manner as provided in this Lease. All costs and expenses (including legal fees on an indemnity basis) of and incidental to any distraint shall be payable by the Tenant and in so far as such sums are not recovered under such distraint, they shall be recoverable as a debt from the Tenant to the Landlord.
就《1934 年遇险法》和这些礼物而言,根据本租约应支付的所有款项(包括税款)和逾期付款应付的利息应被视为可按照 1934 年《遇险法》规定的方式收回租金,如果未提前支付或按本租约规定的时间和方式支付,则所有此类款项均应被视为拖欠租金。任何扣押的所有费用和开支(包括弥偿基础上的法律费用)应由租客支付,如果这些款项在此类扣押下无法收回,则应作为租客对房东的债务收回。
Counterparts
同行
This Lease may be entered into in any number of counterparts, all of which taken together shall constitute one and the same instrument. Any party may enter into this Lease by signing any such counterpart.
本租约可以签订任意数量的对应物,所有对应物加在一起应构成一份相同的文书。任何一方均可签署任何此类对应物来签订本租约。
Language
语言
The Landlord and the Tenant agree that this Lease is made in the English language, which shall serve as the governing language of this Lease, and the Chinese language version of this Lease shall be a reference only for this Lease, and the Chinese language version of this Lease shall not in any way be construed as a new, additional or separate agreement. In the event of any discrepancy or inconsistency between the English language version and the Chinese language version of this Lease, the English language version of this Lease shall prevail and the relevant Chinese language version shall be deemed to be automatically amended to conform, and to make the relevant Chinese text consistent, with the relevant English text. Each of the Landlord and the Tenant hereby undertakes, agrees and acknowledges that: (i) it has read this Lease and understands its content in English and (ii) this Lease has been entered into freely and without duress.
业主及租客同意,本租约以英文订立,而英文应作为本租约的管辖语言, 而本租约的中文版本仅供本租约参考,本租约的中文版本不得以任何方式解释为新的, 附加或单独协议。 如本租契的英文版本与中文版本有任何差异或不一致,概以本租契的英文版本为准 ,而相关中文版本将被视为已自动修订,以符合相关英文文本,并使相关中文文本一致。房东和租户特此承诺、同意并承认:(i) 已阅读本租约并理解其英文内容,以及 (ii) 本租约是自由且不受胁迫地签订的。
