ONLINE ADVERTISING SERVICE AGREEMENT FOR DSP

This Online Advertising Service Agreement for SSP/ADX (the “Agreement”), effective as of the date of 2025.7.22 ("Effective Date"), made by and between AETHERX LIMITED (“DSP”) and IFLYTEK (HONG KONG) COMPANY LIMITED (“SSP”).
本 SSP/ADX 在线广告服务协议 (“ 协议 ”) 自 20 25.7 日起生效 。22(“生效日期”) 由 AETHERX LIMITED(“DSP”)和 IFLYTEK (HONG KONG) COMPANY LIMITED(“STP”)订立 。
DSP and SSP are referred to herein collectively as the “Parties” and each individually as a “Party”.

SSP is a supply side platform that enables DSP’s to “plug into” exchange and to make their inventory available for the purpose of delivering an advertisement.

SSP is the traffic owner, which include but not limited SSP and Ad exchange. The SSP/ADX will be defined as SSP in this agreement.

DSP is a demand-side platform authorized to purchase SSP’s advertising inventory for the purpose of delivering advertisement.

DSP has the experience and capability to do such purchase and desires to participate in bidding auctions through SSP’s exchange.

Now therefore in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereby agree as follows:

1、DEFINITIONS

In this Agreement the following terms as used herein, shall have the meanings set forth below:

“Action(s)” means the fulfillment of certain predefined actions by End Users in connection with the Ads.

“Ad Inventory” means the advertising space on Publisher Sites that Publishers make available through the RTB Technology for Advertisers to place and display Ads.

“Ad(s)” means an advertisement represented by text, graphics, audio or video, or by rich media such as movement, animation, flash or other promotional activity provided by Advertisers.

“Advertiser” means the advertiser for which DSP is the agent under an applicable IO.

“Publisher” means an entity or an individual that owns or makes available Publisher Sites for the purposes of offering for sale the Ad Inventory.

“API” means SSP’s application programming interface, and its related tools and information, which will interact with the DSP.

“Bid” means a response to a Bid Request, submitted to the SSP by a DSP through the API, based on the Bid Data, that will be entered into the auction that is completed for the applicable Deliverable (as further set out in the Functional Specifications).

“Bid Data” means a Client’s own data and information, including the Advertising Materials and the Client’s bid price for any particular Deliverable.

“Bid Request” means any request sent through the DSP for bids on a Deliverable. Each Bid Request shall include certain parameters, consistent with the SSP’s management of the Exchange’s user interface, which may or may not be aligned with any Client’s Bid Data.

“Fraudulent Activity” means without limitation, any activities by SSP that authorize or encourage any third party to, directly or indirectly, generate impressions, click-throughs, conversions, cloaked inventory, and/or other actions with respect to the Services or Exchange through any automated, deceptive, fraudulent, or otherwise invalid means, including through repeated manual clicks, the use of “robots”, or other automated tools, or rendering or placing ads in a way to achieve excessive amount of accidental click-throughs.
“欺诈活动” 是指 SSP 通过任何自动化、欺骗、欺诈或其他无效方式(包括通过重复手动点击、使用“机器人”)直接或间接授权或鼓励任何第三方产生与服务或交易平台相关的展示量、点击量、转化、隐藏广告资源和/或与服务或交易平台 相关的其他作的任何活动, 或其他自动化工具,或者以某种方式呈现或投放广告以实现过多的意外点击。
“Maintenance Services” means those maintenance services to be provided by DSP in respect of the Exchange associated with keeping it functioning in accordance with its Functional Specifications, including without limitation as set out below:

1) Updates, Upgrades. the SSP shall provide to DSP, without any further charge to DSP, all Updates (comprising general bug fixes and minor enhancements) and Upgrades (comprising enhancements and major functionality changes) for the Exchange reflecting improvements made to the underlying technology upon the implementation of such Updates and Upgrades to the SSP.
1) 更新、升级。SSP 应向 DSP 提供交易所的所有更新(包括一般错误修复和次要增强功能)和升级(包括增强功能和主要功能更改),以反映在对 SSP 实施此类更新和升级后对底层技术所做的改进,而无需向 DSP 支付任何进一步费用。
2) The SSP may occasionally be required to suspend the Exchange in order to provide the Maintenance Services. The SSP shall provide DSP with advanced notice of any such suspension.
2) SSP 可能偶尔需要暂停 Exchange 以提供维护服务。SSP 应提前向 DSP 提供任何此类暂停的通知。
“Launch Date” means date on which Bids may be submitted in a live production environment.

“Representative” means, as to an entity and/or its Affiliate(s), any director, officer, employee, consultant, contractor, agent, and/or attorney.

“Taxes” means all taxes, levies, imposts, deductions, charges or withholdings and all related liabilities, including interest, penalties or additions thereto.

“Third Party” means an entity or person that is not a party to an IO; for purposes of clarity, SSP, DSP, Advertiser, and any Affiliates or Representatives of the foregoing are not Third Parties.

“Third Party Ad Server” means a Third Party that will serve and/or track Ads.

“User” means any person visiting web resources and/or user of a computer program (including for mobile devices), in particular, the resources of the SSP.

2、SERVICES AND PAYMENT

DSP hereby retains the SSP to provide the following services (collectively the “Services”):

a) Customize and implement an online advertising exchange (the “Exchange”) that performs in accordance with the Functional Specifications, which Exchange shall allow DSP to purchase Deliverables in near real time;

b) Host the Exchange;

a) The parties shall co-operate to finalize the Functional Specifications, and the SSP shall use commercially reasonable efforts to implement the Exchange to reflect any mutually agreed-upon changes by no later than (i)Launch Date or (ii) such other date as may be agreed to by the parties in writing or by email (the “Initial Delivery Date”). Any custom Functional Specifications, if available, will be subject to available developer time and resources, as well as the practicality of the request.
a) 双方应合作最终确定功能规范,SSP 应尽商业上合理的努力实施交易所,以反映双方同意的任何更改,最迟于 (i) 发布日期或 (ii) 双方以书面或电子邮件形式商定的其他日期(“初始交割日期”)。任何自定义功能规范(如果可用)都将取决于可用的开发人员时间和资源,以及请求的实用性。
b) The Exchange shall conform to the Functional Specifications. Following the Initial Delivery Date, DSP will use commercially reasonable efforts to timely review, test (including in respect of functionality, performance and usability) and either approve or reject the Exchange. DSP shall provide reasons for any rejection, suggesting modifications as appropriate, on an iterative basis, and the SSP will correct and re-deliver the Exchange. In the event that the Exchange does not meet DSP’s final reasonable approval at least one (1) day prior to the Launch Date, either party may (without incurring any liability) terminate this Agreement upon written notice to the other party.
b) 交易所应符合功能规范。在初始交割日期之后,DSP 将尽商业上合理的努力及时审核、测试(包括功能、性能和可用性方面)并批准或拒绝 Exchange。DSP 应以迭代方式提供任何拒绝的理由,并酌情提出修改建议,SSP 将更正并重新交付 Exchange。如果交易所在发布日期前至少一 (1) 天未获得 DSP 的最终合理批准,则任何一方均可在书面通知另一方后终止本协议(无需承担任何责任)。

The basis for calculating fees for each Action shall be as specified in the applicable Insertion Order confirmed by email and in accordance with the following:

a) Impression and reporting. Except as stated otherwise herein, all payments under this Agreement will be based upon SSP’s measurements. DSP and SSP will conform to the Interactive Advertising Bureau methodology for measuring advertising impressions.Should a discrepancy exceeding 5% arise between the two systems, parties will do their best efforts to minimize such discrepancy within the above-mentioned threshold,otherwise either party has the right to terminate this agreement unilaterally.
a) 展示和报告。 除非本协议另有规定,否则本协议项下的所有付款都将基于 SSP 的计量。DSP 和 SSP 将符合美国互动广告局 (Interactive Advertising Bureau) 用于衡量广告展示量的方法。如果两个系统之间出现超过 5% 的差异 , 双方将尽最大努力在上述阈值内将此类差异降至最低 , 否则任何一方均有权单方终止本协议。
b) Taxes. All amounts payable hereunder are exclusive of any value added tax (VAT), use or sales taxes, or similar taxes. Except for taxes on SSP’s income, DSP agrees to pay all applicable taxes or charges imposed by any government entity in connection with DSP’s use of the SSP Services. Unless otherwise agreed, DSP is solely responsible for wire transfer and exchange rate costs incurred by DSP in connection with payment obligations to SSP.

c) Currency. Fees are due regardless of whether DSP has collected payment from its Clients’, advertisers or agents of those advertisers. Unless otherwise noted, all payments shall be made in US Dollars.

d) Invoices. SSP will issue invoices to DSP based on the monthly settlement report data confirmed by both parties and DSP will pay the non-disputed invoiced fees within forty-five (45) calendar days from the receipt date of the invoice. In the event that DSP fails to conduct duly payment to SSP, it shall pay the overdue penalty at a per diem rate of 0.05% on the basis of the unpaid invoiced fees; DSP failure of paying the Accounts Payable within 30 days from the due date, SSP is also entitled to dissolve this Agreement at its sole discretion,and demand that DSP pay all Accounts Payable and liquidated damages.
d) 发票。 SSP 将根据双方确认的月度结算报告数据向 DSP 开具发票,DSP 将在收到发票之日起四十五 (45) 个日历日内支付无争议的发票费用。如果 DSP 未能向 SSP 进行按时付款,则应在未付发票费用的基础上按 0.05% 的每日津贴支付逾期罚款;如果 DSP 未能 在到期日后 30 天内支付应付账款,SSP 也有权自行决定解除本协议 , 并要求 DSP 支付所有应付账款和违约金。
e) In the event DSP suspects fraudulent or invalid traffic or activity (“Fraudulent Activity”), DSP shall provide SSP with a written notice, no later than thirty (30) calendar days from the time the alleged invalid traffic occurred, specifying the applicable claims as well as needed supporting documentation and details aims, including, without limitations, events that are determined to be fraudulent, suspect in quality, or unusable by MRC-accredited fraud detection vendors or those mainstream tracking platform, including but not limited to Appsflyer, Adjust, Pixalate, HUMAN, etc. Report of MRC-accredited fraud detection vendors or those mainstream tracking platform will be the reasonable system of record for determining any such Fraudulent Activity.For the avoidance of doubt, any claims with respect to low or non-retention rates or other performance indications shall not constitute sufficient proof as required above.
e) 如果 DSP 怀疑存在欺诈或无效的流量或活动(“欺诈活动”),DSP 应在涉嫌无效流量发生后三十 (30) 个日历日内向 SSP 提供书面通知,说明适用的索赔以及所需的支持文件和详细信息目标,包括但不限于被确定为欺诈的事件。 质量可疑,或无法被 MRC 认可的欺诈检测供应商或主流跟踪平台(包括但不限于 Appsflyer、Adjust、Pixalate、HUMAN 等)使用。MRC 认可的欺诈检测供应商或主流跟踪平台的报告将是确定任何此类欺诈活动的合理记录系统。 为避免疑义,任何关于低或非留存率或其他性能指示的声明均不构成上述要求的充分证明。
3、REPRESENTATION AND WARRANTIES; COVENANTS

3.1 Mutual Representations, Warranties & Covenants. Each party represents, warrants and covenants throughout the Term to the other that it:

a) has the authority to enter into this Agreement, that its execution of this Agreement and performance of its obligations under this Agreement do not and will not violate any other agreement to which it is a party, and that the terms and conditions hereof are binding on it;

b) has sufficient rights to grant any licenses granted hereunder; and

c) will comply with all applicable laws, rules guidelines and regulations, including without limitation, those set forth by the NAI and/or DAA where applicable, and any laws that apply to the use, retention and disclosure of personal information.

3.2 The SSP Representations, Warranties & Covenants. The SSP further represents, warrants and covenants throughout the Term that:

it will use commercially reasonable efforts to provide the Services in a timely manner, using all reasonable skill and care, in accordance with prevailing industry standards;

it will perform the Services and, as of the Acceptance Date, the Exchange will perform, in substantial accordance with the specifications, terms and performance standards set forth herein, including without limitation, the Functional Specifications specified in defination and the service level objectives set out below:

Commencing on the Launch Date and continuing throughout the Term, both parties shall participate in meetings that are mutually agreed to or otherwise reasonably requested by either party.

the SSP will use commercially reasonable efforts to ensure that the Exchange is available for DSP’s use at least 99.99% of the time calculated on a calendar monthly basis. This standard shall not apply to: (a) periods of scheduled maintenance relating to the reporting functionality (b) outages caused by force majeure events; or (c) where the SSP is unavailable or delayed as a result of the negligence or acts or omissions of DSP, its employees, contractors, agents or the Clients.

neither the Services nor the Exchange will infringe upon any Intellectual Property Rights of any third party and the SSP is the owner or licensee of all Intellectual Property Rights in the SSP;

the SSP will comply and ensure implementation with websites’ and other the SSP’s technical requirements and specifications.

3.3 DSP Representations, Warranties & Covenants. DSP further represents, warrants and covenants throughout the Term that:

it will not, and will ensure that the Clients do not, use any device, software or routine to interfere with the proper working of the Exchange;

its use of the Exchange shall at all times be in accordance with the Functional Specifications and such other reasonable instructions as may be communicated by the SSP to DSP from time to time;

the DSP Marks will not infringe upon any Intellectual Property Rights of any third party and the SSP is the owner or licensee of all Intellectual Property Rights in the DSP Marks;

it will not : (i) copy or duplicate the Exchange , the SSP or Services; (ii) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the Exchange or the SSP; (iii) modify (except as permitted under this Agreement), translate, or create derivative works based on the Exchange or the SSP; (iv) rent, lease, distribute, sublicense, resell, pledge, assign, or otherwise transfer or encumber rights to the Exchange; or (v) remove or otherwise alter any proprietary notices or labels from the Exchange or any portion thereof;

it will use commercially reasonable efforts to enforce the payment obligations of Clients connected with the Deliverables.

it will not carry out the following advertising promotion activities:

contain, promote or have links to any sexually explicit materials, obscene language, hate material, defamatory materials, materials promoting violence, the use of firearms or discrimination based on race, sex, religion, nationality, disability, sexual orientation, age, or family status, or any other materials deemed harmful to the reputation of SSP;
包含、宣传或链接到任何色情材料、淫秽语言、仇恨材料、诽谤材料、宣扬暴力、使用枪支或基于种族、性别、宗教、国籍、残疾、性取向、年龄或家庭状况的歧视的材料,或被认为对 SSP 声誉有害的任何其他材料 ;
promote any software piracy systems (warez, cracking, etc.), hacking, phreaking, emulators, ROM’s, or illegal MP3 activity;
宣传任何软件盗版系统(warez、cracking 等)、黑客攻击、网络钓鱼、模拟器、ROM 或非法 MP3 活动;
promote any illegal activities, deceptive practices, violations or infringements of the Intellectual Property Rights of others;
宣传任何非法活动、欺骗行为、违反或侵犯他人知识产权的行为;
3.4 Harmful Software. Each Party (i) represents and warrants that its product is not knowingly classified as spyware, a virus, or a Trojan horse, and (ii) covenants that it does not intentionally promote pornography, criminal activity, or activity that violates others’ rights.
3.4 有害软件。 各方 (i) 声明并保证其产品未故意被归类为间谍软件、病毒或特洛伊木马,并且 (ii) 承诺其不会故意宣传色情、犯罪活动或侵犯他人权利的活动。
3.5 Spam and Fraud. Each party shall not engage in, or cause others to engage in, spamming, or improper malicious, fraudulent, or other actions. Breach of any of the above representation and warranties may result in immediate termination of this agreement, as well as legal penalties.
3.5 垃圾邮件和欺诈。 各方不得参与或导致他人参与垃圾邮件或不适当的恶意、欺诈或其他行为。违反上述任何声明和保证可能会导致本协议立即终止,并受到法律处罚。
3.6 DSP fully understands and acknowledges that because the advertising space is sold separately for each exposure, the advertisers in the auction are not pre-determined, the auction process is fast and there is large amount of information, the entire transaction process depends on the high-speed data operation technology of DSP’s system, therefore DSP commits and confirms that it shall undertake full responsibility of reviewing and supervising the validity and authenticity of the contents of advertisements released through the transaction methods stipulated in this Agreement, and undertake all legal liabilities arising from the illegal or infringing advertisements.
3,6 DSP 充分理解并承认,由于每次曝光的广告位是单独出售的,拍卖中的广告主没有预先确定,拍卖过程快且信息量大,整个交易过程依赖于 DSP 系统的高速数据运行技术,因此 DSP 承诺并确认,其将承担对内容的有效性和真实性进行审查和监督的全部责任。广告通过本协议规定的交易方式发布,并承担因广告违法或侵权而产生的一切法律责任。
If the promotion materials or promotion objects of DSP are investigated by the competent authority or complained by others, or violate laws and regulations or the provisions of this Contract, SSP shall have the right to independently decide to take one or more of the following measures without assuming any liability:
如 DSP 的推广资料或推广对象被有权机关调查或被他人投诉,或违反法律法规或本合同规定,SSP 有权独立决定采取以下一项或多项措施,且不承担任何责任:
Refuse, suspend or terminate the placement of the suspected promotion materials of DSP.

Require DSP to modify the promotion materials until they comply with relevant regulations.

Terminate the cooperation, rescind this Contract, and require DSP to bear the liability for breach of contract equivalent to 20% of the total amount of the current advertising placement; if the liquidated damages are insufficient to make up for SSP's losses, DSP voluntarily undertakes to compensate all of SSP's losses.

4、TERM AND TERMINATION

4.1 Term. The term of this Agreement shall begin on the Effective Date and auto renew annually (i.e. every 12 months) (the “Term”), unless terminated earlier pursuant to this Agreement by any party hereto.

4.3 Termination Rights. In addition to any other rights of termination provided for herein, this Agreement may be immediately terminated by a party if:

a) the other party commits a material breach of its obligations hereunder that is not cured within ten (10) days after written notice thereof from the non-breaching party, or

4.4 Effects of Termination and Survival. Upon termination or expiration of this Agreement, all rights granted herein will revert to the granting party and all licenses will terminate, and DSP will make no further use of the Exchange or the Services. Except as otherwise provided herein, any termination or expiration of this Agreement shall be without prejudice to any other rights or remedies a party may be entitled to under this Agreement or at law or in equity and shall not affect any accrued rights or liabilities of either party nor the coming into or continuance in force of any provision of this Agreement which is expressly or by implication intended to come into or continue in force on or after such termination or expiration. Upon termination or expiration of this Agreement, any ads sold prior to such termination or expiration will continue to be served for their remaining duration (subject to the terms of this Agreement).

4.5 Return/Destruction of Confidential Information. Within thirty (30) days of any termination or expiration of this Agreement, each party will return to the other party or destroy all Confidential Information of the other party.

5、DATA USE

5.1 SSP has the right to collect and store, all data, including but not limited to Impressions, click through and successful bids, transmitted by DSP to SSP or derived from SSP’s activities in connection with this Agreement (“SSP Data”). SSP may collect and store lost bid data for informational and planning purposes.

For avoidance of doubt, no SSP Data will be used by DSP to augment, modify, design or improve any auction or bidding tools for Partner or any third party. Notwithstanding the foregoing. For example, SSP Data can be anonymously included in aggregate statistics about the size and growth rates of the Exchange platform for internal reporting and planning or for external marketing purposes.

5.3 DSP may not use SSP Data to solicit any Supply Partners outside of an established Private Buying Relationship.

6、INTELLECTUAL PROPERTY

Subject to DSP’s compliance with the terms and conditions of this Agreement, the SSP agrees that DSP has a limited, revocable, non-transferable, non-exclusive right to access and use the Exchange and the SSP (only to the extent it is incorporated into, and forms part of the functionality of, the Exchange) during the Term solely as provided herein.

SSP acknowledges and agrees that it does not have any rights in or title to any of the Intellectual Property Rights contained in the Clients’ Advertising Materials, except for the right to display the Clients’ advertisements on the Websites, apps or mobile devices in accordance with this Agreement. SSP agrees that is will not use the Advertising Materials for any purpose other than display on the Websites, apps or mobile devices as contemplated herein.

7、CONFIDENTIALITY

7.1 Definition. As used in this Agreement, the term “Confidential Information” of the party disclosing such information shall refer to: (a) such party’s trade secrets, business plans, strategies, methods and/or practices; (b) such party’s software, tools, trade secrets, know-how, designs, technical information, proprietary methodologies, computer systems architecture and network configurations; (c) any other information relating to such party that is not generally known to the public, including information about its personnel, products, customers, financial information, marketing and pricing strategies, services or future business plans; and (d) any other information which, from all the relevant circumstances, should reasonably be assumed to be confidential and proprietary.

7.2 Obligations. Each party agrees that it will not disclose any Confidential Information of the other party to any third-party, and that it will not use Confidential Information for any purpose not permitted under this Agreement. Each party will protect the Confidential Information of the other party in the same manner that it protects its own confidential and proprietary information, but in no event shall such protection be less than a reasonable standard of care. This Article 7 supplements and does not supersede any existing non-disclosure or confidentiality agreements between the parties.

The foregoing obligations shall not apply to the extent Confidential Information of a disclosing party: (a) must be disclosed by the receiving party to comply with any requirement of law or order of a court or administrative body including any applicable stock exchange (provided that each party agrees to the extent legally permissible to notify the other party upon the issuance of any such order, and to cooperate in its efforts to convince the court or administrative body to restrict disclosure); or (b) is known to or in the possession of the receiving party prior to the disclosure of such Confidential Information by the disclosing party, as evidenced by the receiving party’s written records; or (c) is known or generally available to the public through no act or omission of the receiving party; or (d) is made available free of any legal restriction to the receiving party by a third party; or (e) is independently developed by the receiving party without use of any Confidential Information.

8、INDEMNIFICATION AND LIMITATION OF LIABILITY

8.1 Limitation of liability. Except for the obligations set forth in article 7 and section 8.3, in no event shall SSP will not be liable for any consequential, incidental, indirect, punitive, special or other similar damages nor for any loss of profits, loss of revenues, loss of savings, or loss of clients, whether under tort (including negligence), contract or other theories of recovery, even if any such party was or should have been aware or was advised of the possibility of such damages. Excluding the parties’ indemnification obligations under this article 8 or damages that result from a breach of article 7, in no event will SSP liability arising out of this agreement from any cause of action whatsoever exceed the aggregate amounts paid or owed under this agreement by DSP to the SSP during the six (6) months prior to the date the cause of action arose.

a) Except as explicitly provided herein, SSP makes no representations, warranties or conditions of any kind regarding the SSP, the exchange, the services or the api, and except as explicitly provided herein, SSP hereby disclaims all representations, warranties and conditions, express or implied, whether statutory or otherwise, including, but not limited to, the implied warranties or conditions of merchantability and fitness for a particular purpose, uninterrupted or error free operation, quality, accessibility, non-infringement or those arising out of a course of dealing or usage of trade. For greater certainty, SSP does not represent or warrant that the SSP, the exchange, the services or the api will operate securely or without interruption; nor does it make any representation or warranty as to the results that may be obtained from clients’ use of the exchange.

b)Although SSP will use commercially reasonable efforts to obtain contractual representations from publishers that their respective publisher sites will not violate SSP’s publisher policies SSP does not guarantee and therefore shall not be held liable whether the content of publisher sites meet such publisher policies and DSP understands that SSP does not produce content but rather facilitates transactions between publishers and advertisers. SSP has no responsibility to regularly review publisher sites or content provided by its publishers.

8.3 Indemnification.

a) DSP hereby agrees to defend, indemnify and hold harmless the SSP and its officers, directors, agents and employees from any and all liabilities, losses, expenses, damages, and costs (including, without limitation, reasonable attorneys’ fees) that may at any time be incurred by any of them by reason of any third party claims, actions, suits or proceedings relating to or arising out of: (i) any breach (or, as to defense obligations only, alleged breach) by DSP of any term, condition, representation or warranty under this Agreement; (ii) DSP’s gross negligence, willful misconduct or fraudulent actions; or (iii) the infringement of the DSP of any registered patent or any copyright.

b) Any claim for indemnification hereunder shall be subject to the following provisions: (i) the indemnifying party shall be given prompt written notice of the claim by the indemnified party, provided that any delay in providing notice shall not relieve the indemnifying party of its indemnity obligations under this Agreement unless, and only to the extent, the indemnifying party was prejudiced by the delay; (ii) the indemnifying party shall have the right to control the defense and all negotiations relative to the settlement of any such claim, provided that it diligently undertakes such defense and that no settlement admitting liability on the part of the indemnified party or limiting the indemnified party’s rights hereunder may be made without the express written consent of the indemnified party; and (iii) the indemnified party shall reasonably cooperate with the indemnifying party and its counsel at the indemnifying party’s cost and expense.

9、JURISDICTION.

This Agreement shall be governed by the laws of the People’s Republic of China (excluding the laws of Hong Kong, Macau and Taiwan). In the event of any inconsistency between the terms of the Insertion Order and this Agreement, the terms of the Insertion Order will prevail. Should a dispute arise between the Parties in connection with the Insertion Order or this Agreement, the Parties shall attempt to resolve such dispute through friendly consultations between themselves. If, however, the dispute cannot be resolved after such friendly consultations, then the Parties agree that such and all disputes arising in connection with this Agreement, including questions regarding its existence, validity or termination, shall be settled, referred to and finally resolved by the Shanghai lnternational Economic and Trade Arbitration Commission (“SHIAC”), under its Rules of Arbitration for the time being in force, which rules are deemed to be incorporated by reference to this section. The award shall be final and binding on both Parties. The prevailing Party, as determined by the arbitrators, shall be entitled to recover its reasonable costs, including the arbitration fees, and reasonable attorney’s fees from the non-prevailing Party; provided, however, that if the arbitrators determine that both Parties were at fault, the arbitrator or arbitrators shall apportion responsibility for such reasonable costs and expenses between the Parties based on each Party’s comparative responsibility as determined by the arbitrator or arbitrators.

10、GENERAL

Any notices, invoices and other documents under this Agreement shall be in written form and shall be submitted and sent to the specified mailing address or email address of the relevant party in the first part of this Insertion Order. SSP shall use the mailbox with suffix @[iflytek.com] or specified email address of [cxli@iflytek.com ], and DSP shall use the mailbox with suffix @[ youchaosh.cn ] or specified email address of [ chenjia@youchaosh.cn ], Issued from the address and number shown above, unless either Party has previously notified the other Party of the changed address and phone number in writing.

Sending an email to the Email Address specified abovementioned or by posting a message to the Contact Person is considered as a notification to the other Party, and the notification is deemed to have been received at the time of issuance (in the case of an email or a phone message) or 7 days after the posting of the message (in the case of a message posted on the Specified Mailing Address).

10.2 Force Majeure. Neither party shall be liable to the other party for any delay or failure in performance under this Agreement arising out of a cause beyond its control and without its fault or negligence. Such causes may include, but are not limited to fires, floods, earthquakes, strikes, unavailability of necessary utilities, blackouts, acts of God, acts of regulatory agencies, or national disasters.

10.3 Counterparts. This Agreement may be executed in counterparts which together shall be deemed to constitute one valid & binding agreement & delivery of the counterparts may be effected by means of a fax or electronic mail transmission.
