DISTRIBUTION AGREEMENT 分销协议
This Distribution Agreement (this “Agreement”) is entered into effective as of 1 July 2019 (the “Effective Date”) by and between:

(1) STX Motion Ltd. (a company under incorporation) whose registered office is at 21C Yagia Kapayim Street, Petah-Tikva, P.O. Box: 3919 Israel, Post Code: 4913020 (the “Distributor”); and,

(2) Servotronix Motion Control Ltd., whose registered office is at 21C Yagia Kapayim Street, Petah-Tikva, P.O. Box: 3919 Israel, Post Code: 4913020 (the “Supplier”)

Each of Supplier and the Distributor shall be referred to as a “Party” and collectively as the “Parties.”

WHEREAS The Supplier wishes to focus on certain activities and territories, while reducing its involvement and its investments in other markets (namely the Territory, as defined below) and business activities, and for that wishes to find a third party which will continue such discontinued business activities in the Territories;

WHEREAS Distributor has been established by former employees of Supplier in order to distribute, inter alia, Products, and Legacy Products in the Territory, and it wishes to accept its engagement and all related investments and risks by Supplier, subject to the terms hereof.

NOW, THEREFORE, the Parties do hereby agree as follows:

1. Definitions 1. 定义
1.1. “Affiliate” means any Person that is Controlled by, Controls or is under common Control with the Person in question.

1.2. “Agreed Territory Target” means the agreed targets, as agreed by Supplier and Distributor or otherwise determined by clause 3.3, in relation to each Territory.

1.3. “Agreed Global Target” means the agreed aggregate target, as agreed by Supplier and Distributor or otherwise determined by clause 3.3, in relation to all Territories.

1.4. “Churn Customer” means the customer associated with a Legacy Product (whether as at the Effective Date or during the Term of this Agreement).

1.5. “Control” or “control” means the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of any Person, whether through the ownership of voting securities or by contract or otherwise.

1.6. “Current Product” any Product sold by Supplier Group as of the Effective Date (those products identified in Schedule 1.6), including any upgrades and revisions thereof.

1.7. “Customized Products” means Products that are tailored specifically for a specific customer, and that may be subject to limitations for the benefit of such customer.

1.8. “Effective Date” has the meaning given to it in the prefatory paragraph of this Agreement.

1.9. “Existing Customer” means (i) during the Initial Term and any Renewal Term, a customer to whom Distributor has sold a Product (on an exclusive basis or not), or (ii) during the Tail Period, a customer to whom the Distributor has sold a Product (on an exclusive basis or not) during the three (3) year period prior to the end of the Initial Term and any Renewal Term, as applicable.

1.10. “Future Products” means any motion control products made available by Supplier Group that are not Current Products, including any upgrades and revisions of such Future Product.

1.11. “Global Supplier Partner” means companies with large footprints which offer or contemplate offering motion control products to the general market under their own brand or brands which have a reasonable potential to ramp up to an annual turnover with Supplier of at least USD 3,000,000 annually.

1.12. “Initial Exclusivity Term” has the meaning set forth in clause 3.3.

1.14. “KUKA” means KUKA AG and entities under Control of KUKA AG.

1.15. “Legacy Products” means those products identified in Schedule 1.15, as well as any Product that the Parties agree in writing, in an amended and updated Schedule 1.15, will be treated as a Legacy Product (with specificity as to the relevant Churn Customer).

1.16. “Person” means any individual, firm, corporation, joint venture, enterprise, partnership, trust, limited liability company, government (or agency or political subdivision thereof), or other entity of any kind, whether or not having separate legal personality.

1.17. “Products” means Current Products and Future Products.

1.18. “Supplier’s Group” means Supplier and its current and/or future Affiliates (For the avoidance of doubt, this excludes KUKA, as well as Midea Group Co., Ltd. and any Affiliates that are not subsidiaries of Supplier, but includes Welling).

1.19. “Term” has the meaning set forth in clause 16.2.

1.20. “Third Party Products” means products of third parties that Supplier and/or any member of Supplier’s Group sell and/or distribute in a Territory.

1.21. “Territory” means each of (i) Israel, (ii) North America, (iii) Europe (including Turkey and Russia), (iv) India, and (v) South Korea.

1.22. “Welling” means Guangdong Midea Intelligent Technologies Co., Ltd.

1.23. “Welling Products” means those servo motors Products developed and/or manufactured by Welling or its subsidiaries.

2. Appointment 2. 预约
2.1 During the Term, the Supplier hereby appoints the Distributor as its distributor, subject to the below terms, to market and resell the following products, which could be sold as a stand-alone component and/or as part of a bundle, sub-system and/or system solutions, in all fields:

a) Products (solely as to the Territories); and,

b) Legacy Products (on a worldwide basis).

c) In connection with Customized Products only, (i) when Distributer sells such Customized Products under this Agreement it shall abide by the limitations (if any) undertook by Supplier in connection with such Customized Products, and (ii) if Distributor’s customer for Customized Products wishes to impose limitations on Supplier and Supplier agrees to make such Custom Products, Supplier shall abide by the limitations. The Parties shall discuss in good faith and exchange information with respect to all limitations associated with Customized Products.

d) When selling Products in the Territory, Distributor shall abide by the limitations (if any) undertook by Supplier vis-à-vis KUKA in connection with the sale by Supplier and other parties of multi-axis controller to the Robotic Market, provided that such limitations shall not apply to then current customers of Distributor (Distributor shall provide, upon request, a list of all such customers). For this ’ purpose the “Robotic Market” shall mean six axes articulated robots, unless otherwise agreed upon between Supplier and KUKA. For the avoidance of doubt, Supplier anticipates granting to KUKA exclusivity as to multi-axis controllers for the Robotics Market. Upon finalization of an agreement with KUKA, Supplier will provide Distributor with notification of the final terms of exclusivity. In the event that Supplier and KUKA terminate discussions without any binding commitment in relation to multi-axis controllers for the Robotics Market, then Supplier will provide Distributor with such notification and the limitation under this clause 2.1(d) shall not apply.

e) By no later than 1 July 2019, in order for the Distributor to be able to carry on its liabilities as a distributor, Supplier shall provide to Distributor a copy of all customer relationship data held by Supplier with respect to customers of Products located in the Territory and for Legacy Products, including without limitation the CRM data and customer’s communication history and purchasing history (subject to data privacy and other applicable legal limitations, if any).

2.3 Future products 2.3 未来产品
During the Term, Supplier shall promptly (and not later than 3 months before launch) notify Distributor in writing of any Future Products.

2.4 For the avoidance of doubt, any appointment hereunder is limited to the Territories and shall not be construed to grant to Distributor any right to market, sell or distribute to any Person for on-sale or re-export outside of the Territory.

2.5 Distributor shall not have any right to continued distribution of the Products other than as set forth in this Agreement. Any goodwill created by or on behalf of the Distributor with respect to the Products and Supplier’s brands shall be the exclusive property of Supplier. Upon expiration or termination of this Agreement, Supplier shall not be liable for any claim based on any expenditure, investment or commitment made by Distributor (or those
