This Agreement is made and entered into voluntarily by both Parties under equal negotiation, in accordance with applicable laws and regulations. Party A agrees to provide a principal-protected financial participation to Party B under the following terms:
本协议由双方根据适用的法律法规，在平等协商下自愿订立。甲方同意根据以下条款向乙方提供保本的财务参与：

1.1 Party A agrees to participate in Party B’s project by providing a principal-protected contribution of USD 200,000 (Say: Two Hundred Thousand US Dollars).

1.2 Party B designates the following receiving account (denominated in RMB; exchange rate shall be based on the daily rate of the Bank of China):

The duration of this principal-protected participation shall be twenty-four (24) months, commencing from the date when Party A 's funds are transferred to Party B.
本次保本参与的期限为二十四 （24） 个月，从甲方资金转给乙方之日起计算。

The funds shall be exclusively used for partial payment of PI-OBD20241205-C04. Party B shall not allocate these funds to any unrelated activities without prior written consent from Party A.
这笔资金专门用于支付 PI-OBD20241205-C04 的部分费用。未经甲方事先书面同意，乙方不得将这些资金用于任何无关的活动。

4.1 Party B agrees to distribute a fixed monthly profit of USD 3,000 to Party A, beginning from the month following receipt of the funds. The distribution shall be completed by the 5 th day of each month.
4.1 乙方同意从收到资金的次月开始，每月向甲方分配 3,000 美元的固定利润。分配应在每月 5 日之前完成。
4.2 At the conclusion of the 24 -month term (i.e., May 30, 2027), Party B shall return the full principal amount of USD 200,000 to Party A.

4.3 Early return of capital is permitted only after a minimum of eight ( 8 ) months of participation. In such case, the profit distribution shall be calculated on a pro-rata basis according to the actual duration.

5.1 Party A has the right to receive periodic updates on Party B’s usage of funds, financial status, and business progress. Party B shall cooperate fully and provide timely, accurate, and transparent documentation upon reasonable request.
5.1 甲方有权定期接收乙方的资金使用情况、财务状况和业务进展情况。乙方应充分合作，并在合理要求提供及时、准确和透明的文件。

5.2 In the event Party B does not fulfill its agreed distributions or capital return, Party A may request transfer of ownership of the following equipment (or equivalent assets) as mutually agreed:

In case Party B is unable to fulfill scheduled profit distributions or capital return obligations, Party B agrees to work with Party A to resolve the matter amicably. Any costs incurred by Party A to safeguard its rights may be reimbursed, including but not limited to legal and administrative expenses.
如果乙方无法履行预定的利润分配或资本返还义务，乙方同意与甲方合作友好地解决问题。甲方为维护其权利而产生的任何费用都可以得到补偿，包括但不限于法律和行政费用。

All Parties agree that the contact information provided herein (including email addresses) shall be deemed valid for communications and legal notifications.
各方同意，此处提供的联系信息（包括电子邮件地址）应被视为对通信和法律通知有效。

Any disagreements arising from or related to this Agreement shall first be resolved through friendly consultation. If unresolved, either Party may submit the case to the competent People’s Court located in Party A’s jurisdiction.
因本协议引起的或与本协议有关的任何分歧应首先通过友好协商解决。如未解决，任何一方均可将案件提交甲方管辖的有管辖权的人民法院。

9.1 Supplementary documents or notes attached to this Agreement shall have equal legal validity.
9.1 本协议所附的补充文件或说明具有同等法律效力。
9.2 This Agreement is executed in two original-eopics, one held by each Party.
9.2 本协议以两份正本签署，每方各持有一份。
