1. Party A holds the gold mining license in the area, as well as the financial strength and professional technical ability to invest in gold mining, and Party B has good coordination ability with the government and local community in the area.

After friendly negotiation, both parties have reached the following cooperation agreement:

1. Responsibilities of Party A

-Party A shall be responsible for full $\mathbf{1}\mathbf{0}\mathbf{0}\mathbf{\%}$$\mathbf{1}\mathbf{0}\mathbf{0}\mathbf{\%}$100%\mathbf{1 0 0 \%} of the investment in the mining area, including but not limited to the purchase of mining equipment, employment of mining personnell only not including local staff, construction of mining infrastructure and other investment required for mining operations, and shall be responsible for the mining work of the gold mine.

-With the cooperation of Party B, starting from the first month after the mining license area is successfully opened and normal mining activities can be carried out, Party A shall pay 6000 US (Six Thousand) dollars to Party B as salary every month, and pay 20000 US (Twenty Thousands) dollars to Party B in advance as quarterly community

(1) Rights of Party A

1. Party A shall have the right to independently carry out mining, operation and management activities of gold mines within the scope stipulated in the Mining License according to the provisions of this Agreement.

2. Party A and Party B have a cooperative relationship. Party B is responsible for communication and coordination with the local

(2) Obligations of Party A

1. Party A shall abide by all local laws and regulations on mineral resources exploitation in Somaliland, accept the supervision of the Ministry of Minerals and other relevant government departments, and actively fulfill its corporate social responsibility.
   甲方应遵守索马里兰当地所有矿产资源开发法律法规，接受矿产部及其他相关政府部门的监督，并积极履行企业社会责任。
2. Party A is obligated to share the gold output with Party B

(III) Rights of Party B
（三）乙方的权利

1. Party B shall have the right to receive wages and quarterly dividends (community payments) in accordance with this Contract.
   乙方有权根据本合同获得工资及季度分红（社区款项）。
2. Party B shall have the right to supervise whether Party A’s operation in the mining process complies with laws and regulations, but Party B shall not interfere with Party A’s normal mining management work only responsible security of the site and Local staff management.
   乙方有权监督甲方在采矿过程中是否符合法律法规的运营，但不得干涉甲方正常的采矿管理工作，仅负责现场安保及当地员工管理。

(IV) Obligations of Party B
（四）乙方的义务

1. During the whole period of cooperation, Party B must abide by the provisions of this Agreement.
   在整个合作期间，乙方必须遵守本协议的规定。
2. During normal mining operations, if Party A is unable to continue due to problems in the local community, Party B shall actively coordinate to ensure the resumption of normal mining operations within Two months. If the production is suspended for more than Two months as a result, Party A will deduct Party B’s salary and quarterly dividend during the suspension period until work resumes.
   在正常采矿作业期间，若因当地社区问题导致甲方无法继续作业，乙方应积极协调，确保在两个月内恢复正常的采矿作业。若因此导致停产超过两个月，甲方将扣除乙方在停产期间的薪资及季度分红，直至恢复作业。

Confidentiality clause  保密条款

1. Both parties shall keep confidential the other party’s trade secrets, technical secrets and other confidential information (hereinafter referred to as “Confidential Information”) learned during the cooperation process. Confidential Information includes but is not limited to business plans, financial information, customer data, technical solutions, mining data, etc.
   双方应对合作过程中获悉的对方商业秘密、技术秘密及其他保密信息（以下简称"保密信息"）予以保密。保密信息包括但不限于商业计划、财务资料、客户数据、技术方案、采矿数据等。
2. Without the written consent of the other party, neither party shall disclose, use or allow any third party to use the Confidential Information, except as otherwise provided by laws and regulations or required by government departments. The term of confidentiality hereunder shall be from the effective date of this Agreement to the termination of the Contract.
   未经对方书面同意，任何一方不得披露、使用或允许第三方使用保密信息，法律法规另有规定或政府部门要求的除外。本条款保密期限自本协议生效之日起至合同终止之日止。

V. Modification and Termination of the Agreement
第五条 协议的修改与终止

1. Any amendment or supplement to this Agreement shall come into force only after both parties have reached a written agreement and signed relevant agreements.
   本协议的任何修改或补充，仅在双方达成书面协议并签署相关文件后方可生效。
2. In the event that force majeure events (such as natural disasters, war, government prohibitions, etc.) make it impossible or partially impossible to perform this Agreement, both parties shall negotiate to resolve and share the losses caused by force majeure events within a reasonable scope.
   如遇不可抗力事件（如自然灾害、战争、政府禁令等）导致本协议无法履行或部分无法履行，双方应协商解决，并在合理范围内共同承担不可抗力事件造成的损失。
3. The term of this Agreement is 5 years, which will be automatically extended upon expiration;
   本协议有效期为 5 年，期满后自动续约；

VI. Dispute Resolution  六、争议解决

1. The signing, performance, interpretation and dispute settlement of this Agreement shall be governed by the laws of Somaliland.
   本协议的签署、履行、解释及争议解决均受索马里兰法律管辖。
2. In case of any dispute arising from the cooperation between the two parties, it shall be settled through friendly consultation first; if no agreement can be reached through consultation, either party shall have the right to bring a lawsuit to the competent court of Somaliland.
   若双方合作过程中发生任何争议，应首先通过友好协商解决；如协商无法达成一致，任何一方均有权向索马里兰有管辖权的法院提起诉讼。

Other provisions  其他条款

1. This Agreement shall come into force upon being signed (or sealed) by both parties and automatically terminate upon the completion of each party’s obligations.
   本协议自双方签字（或盖章）后生效，并在各方义务履行完毕后自动终止。
   

   

2. This Agreement is made in duplicate, with each party holding one copy and both copies having the same legal effect.
   本协议一式两份，双方各执一份，具有同等法律效力。
3. For matters not covered herein, both parties may negotiate and sign a supplementary agreement, which shall have the same legal effect as this Agreement.
   未尽事宜，双方可协商签订补充协议，补充协议与本协议具有同等法律效力。
