ARBITRATION: All disputes and questions whatsoever which arises between the parties to this agreement and touching on this agreement on the construction or application thereof or any account cost, liability to be made hereunder or as to any act or way relating to this agreement shall be settled in accordance with the arbitration laws of the ICC. This agreement contains the entire agreement and understanding concerning the subject matter hereof and supersedes and replaces all prior negotiations and proposed agreements, written or oral. Neither of the parties may alter, amend, nor modify this agreement, except by an instrument in writing signed by both parties. This agreement will be governed by and construed in accordance with the laws of United Kingdom. In the event that either party shall be required to bring any legal actions against the other in order to enforce any of the terms of this agreement the prevailing party shall be entitled to recover reasonably attorney fees and costs. ADVISORS: Parties to this agreement are independent contractors and all contemplated payments and/or disbursements hereunder are divided interests. Nothing in this agreement construes or creates a partnership or employer/employee relationship between or among the parties hereto. All taxes, federal, state or other are the independent responsibility of each of the parties hereto. All the identification codes shall remain the same and shall not be changed until this transaction including any renewals, extensions and additions are fully completed and we agree to respect those. The transaction code may be amended only by agreement between all parties hereto. This transmission via facsimile will be accepted as an original and we confirm that we have authority to execute this Pay Order. This irrevocable pay order will come into effect within 5 (five) working days only after each transaction value of the agreement will happen and only after the asset manager, would have already made the transfer related to the first and subsequent investment to the designated bank account of the company nominated in amount agreed by all parties including fees for facilitator’s consultancy & intermediary group both sides will be transferred. Upon full clearance of said transferred funds, service provider (receiver)'s authorized and instructed trustee distributes and transfers cash funds via Swift message MT103/ TT CASH with “urgent, the same day wire” mode to designated bank accounts, as per agreed terms and conditions in this agreement IPGL.

FEES PAID BY THE RECEIVER: This IMFPA is legally binding on all Parties hereto, their principals, employees, representatives, agents and assigns in all countries of the world. I agree to the above Irrevocable Fee Protection Agreement in its entirety. This agreement once executed by both parties will become effective as of the date first written above. Any official notice(s) exchanged by the parties hereto, shall be sent to the first mentioned address(s) herein or as may be attached by addenda hereto. In accordance with the provisions of Articles 961 to 966 of Chapter 26 "Intermediary Contract" of the Civil Code of the People's Republic of China, the intermediary fees for intermediary personnel and the national reward policies for meritorious intermediary personnel will be fulfilled. The following intermediaries are hereby authorized and entrusted to have made significant contributions to the success of the business through communication, negotiation, coordination, and facilitation in this business. The principal (the provider of funds) and the national handling party hereby promise: in accordance with the national reward policy regulations, an initial allocation will be made to the following intermediaries from the principal's and the promisor's personal bank cards. The principal and the national handling party shall be responsible for handling legal procedures such as the "Fund Source Certificate", "Fund Transfer Certificate", "Fund Tax Payment Certificate", and "Fund Use Certificate".
根据《中华人民共和国民法典》第二十六章"中介合同"第 961 条至 966 条规定，中介人员中介费及有功中介人员国家奖励政策应予兑现。现授权委托下列中介人员在本业务中通过沟通、洽谈、协调、促成等环节为业务成功做出重大贡献。委托人（资金提供方）与国家经办方在此承诺：根据国家奖励政策规定，将从委托人及承诺人个人银行卡中首次分配下列中介人员。委托人及国家经办方应负责办理《资金来源证明》、《资金转款证明》、《资金完税证明》、《资金使用证明》等法律手续。
