Fred Perry Limited - Letter of Undertaking Fred Perry Limited - 承诺书
Fred Perry Limited (hereinafter “Fred Perry”) has appointed I.T Sourcing Limited of 31//F31 / F Tower A, Southmark 11 Yip Hing Street, Wong Chuk Hang, Hong Kong (hereinafter “I.T”) as its distributor in mainland China, Hong Kong and Macau (hereinafter the “Territory”). In turn, I.T has appointed Air Sea Transport (HK) Limited (hereinafter, “Air Sea”) as its designated carrier of “Fred Perry”-branded product (being the “Fred Perry Products”) within the Territory. Air Sea has, in turn, validly subcontracted this right (and all the underlying obligations) to Shenzhen Excellence Yantian International Logistics Co. Ltd (hereinafter, “SEYIL”). Fred Perry Limited（以下简称“Fred Perry”）已指定位于 31//F31 / F 香港黄竹坑业兴街南地标南地标 A 座的 I.T Sourcing Limited（以下简称“I.T”）为其在中国大陆、香港和澳门（以下简称“地区”）的分销商。反过来，I.T 已指定 Air Sea Transport （HK） Limited（以下简称“Air Sea”）作为其在该地区的“Fred Perry”品牌产品（即“Fred Perry 产品”）的指定承运人。Air Sea 已将这项权利（以及所有潜在义务）有效地分包给深圳卓越盐田国际物流有限公司（以下简称“世逸”）。
Fred Perry has agreed to register SEYIL with the General Administration of Customs of the People’s Republic of China (hereinafter “Chinese Customs”) as Fred Perry (Holdings) Limited’s “authorised user” of the “Fred Perry” trade, marks in the Territory, such authorisation to apply solely in the context of the import and export (including, but not limited to, customs clearance) of Fred Perry Products between Hong Kong and China (being the “Services”) for a period of 12 months from the date of this letter agreement (unless earlier terminated in accordance with clause 4 and 6 below). Fred Perry 已同意向中华人民共和国海关总署（以下简称“中国海关”）注册 SEYIL，作为 Fred Perry （Holdings） Limited 在该地区的“Fred Perry”商标的“授权使用者”，该授权仅适用于进出口（包括但不限于 自本协议书签订之日起 12 个月内（除非根据下文第 4 条和第 6 条提前终止）。
In consideration of Fred Perry effecting SEYIL’s registration as an “authorised user” with Chinese Customs, Air Sea and SEYLL (each acting for and on its own behalf) now hereby undertake, as follows: 鉴于 Fred Perry 将 SEYIL 注册为中国海关的“授权用户”，Air Sea 和 SEYLL（各自代表自己行事）现特此承诺如下：
a. only to handle, including (but not limited to) the import and export of, Fred Perry Products under the direction of I.T and to notify I,T and, separately, Fred Perry, Immediately in writing in the event that it becomes aware of any Fred Perry Products being transported without I,T’s knowledge or direction; a. 仅在 I.T 的指导下处理（包括（但不限于）Fred Perry 产品的进出口，并在发现任何 Fred Perry 产品在 I，T 不知情或未指示的情况下运输时，立即以书面形式通知 I，T 和 Fred Perry;

c. not now or in the future to have any involvement in the import or export of products that apply a sign synonymous with the “Fred Perry” brand including, without limitation, the “Fred Perry” word mark, the laurel wreath logo or any sign similar to the aforementioned signs without the approval and direction of I.T or Fred Perry; c. 未经 I.T 或 Fred Perry 的批准和指示，现在或将来不得参与进口或出口贴有“Fred Perry”品牌同义标志的商品，包括但不限于“Fred Perry”文字商标、月桂花环徽标或与上述标志类似的任何标志;

d. to apply for, obtain, and fund (including, without limitation, any related expenses) all necessary approvals, licences and permits required for its rendering of Services within the Territory; d. 申请、取得及资助（包括但不限于任何相关开支）在区域内提供服务所需的所有必要批准、执照及许可证;
e. to ensure that the Services are carried out under I.T’s direction and authority, and to conduct the Services in a timely manner and with all reasonable care and skill; e. 确保服务在 I.T 的指示和授权下进行，并及时并以一切合理的谨慎和技能提供服务;
f. to ensure that the Fred Perry Products are handled with all due care and diligence and to promptly notify I,T and, separately, Fred Perry, in writing, of any actual or suspected damage, delay or loss of the Products in the provision of the Services; f. 确保 Fred Perry 产品得到应有的谨慎和勤勉处理，并及时以书面形式通知 I，T 和 Fred Perry，如产品在提供服务过程中发生任何实际或疑似损坏、延误或损失;
g. to liaise with Chinese Customs (and any other necessary authorities) in relation to customs clearance procedures for the Fred Perry Products in the Territory, as directed by I.T; g. 按照 I.T 的指示，就 Fred Perry 产品在该地区的清关程序与中国海关（和任何其他必要的当局）联络;

4. In the event that Air Sea or SEYIL fails to comply with any of the above undertakings (as determined by I.T and/or Fred Perry, acting reasonably), I.T and/or Fred Perry shall be entitled to terminate the Services with immediate effect upon the provision of written notice to SEYIL or Air Sea (as applicable) at the address set forth in the above (or as updated from time to time). For clarity, in the event that I.T. and/or Fred Perry elect to terminate Air Sea or SEYIL, this shall immediately trigger the termination of the other, with immediate effect. Any costs and/or charges incurred by I.T and/or Fred Perry as a result of such termination shall be Air Sea’s sole responsibility. 4. 若 Air Sea 或 SEYIL 未能遵守上述任何承诺（由 I.T 及/或 Fred Perry 合理决定），I.T 及/或 Fred Perry 有权在向 SEYIL 或 Air Sea（如适用）提供书面通知后，立即终止服务至上述地址（或不时更新）。为明确起见，如果 I.T. 和/或 Fred Perry 选择终止 Air Sea 或 SEYIL，则应立即触发另一方的终止，并立即生效。I.T 和/或 Fred Perry 因此类终止而产生的任何成本和/或费用应由 Air Sea 全权负责。
5. Air Sea and SEYIL shall jointly and severally indemnify and hold both IT and Fred Perry harmless against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other professional costs and expenses) suffered or incurred by I.T and/or Fred Perry arising out of or in connection with: 5. a. any breach by Air Sea or SEYIL of: i) this letter Agreement; or ii) the undertakings contained herein; a. Air Sea 或 SEYIL 违反以下各项：i） 本协议书;或 ii） 此处包含的承诺;
b. Air Sea’s and/or SEYIL’s breach or negligent performance or non-performance of the Services; b. Air Sea 和/或 SEYIL 违反或疏忽履行或不履行服务;

6. This letter agreement shall commence from the aforementioned date and shall continue until the earlier of: i) I.T providing notice to Air Sea or SEYIL of termination of the Service; and ii) 12 months from the date of this letter agreement. 6. 本协议书应从上述日期开始，并应持续到以下时间（以较早者为准）：i） I.T 向 Air Sea 或 SEYIL 发出终止服务的通知;ii） 自本协议书之日起 12 个月。
7. 8. This letter agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the laws of England.
