INTEGRATED EPC AND PROJECT SERVICE AGREEMENT

This Integrated EPC and Project Development Agreement (“Agreement”) is made this ____ day of ________ , 20__, by and between Zaith Construction Group dba Clean-Power 2N (“Contractor”), a California corporation, and _______________________ ("Owner"), for the purchase of a solar power plus energy storage system (“System”) to be constructed at _______________________ (the “Property”). Contractor and Owner are occasionally referred to herein individually as a “Party” and collectively as the “Parties.”

Scope of Work
工作范围
EPC Services. Contractor shall provide all engineering, programming, procurement, construction, interconnection, and commissioning services required for the design and installation of a fully integrated solar PV and energy storage system ("System") in accordance with the specifications, drawings, zoning compliance, code compliance, and permitting authority requirements. The System shall include but not be limited to PV modules, inverters, racking/mounting, energy storage equipment, electrical components, and balance-of-system hardware. All EPC services shall be performed on a best-effort basis, and the Contractor shall not be liable for any delays or failures caused by force majeure or external factors, including but not limited to supply chain disruptions, permitting delays, utility actions, or weather.

Project Services. In addition to EPC services, Contractor shall perform the following project service functions:

All project services (the “Work”) shall be performed on behalf of Client as an independent contractor and subject to milestone schedule or written task order. Contractor assumes no liability for Client's eligibility or success in receiving any governmental incentives, tax credits, or program acceptance.

Description of the System and Significant Equipment to be Installed. Contractor will furnish all labor, materials, equipment, supervision, and contract administration to complete in a good and workmanlike manner the following:

___________ KW DC Solar System and ___________kWh Battery Energy Storage System (“BESS”) as described in the proposal (“Proposal”) will be installed, which is incorporated by reference herein, and shall be described more fully in the engineering drawings to be prepared by Contractor subsequent to the execution of this Agreement. Contractor’s Scope of Work under this Agreement does not include any of the items listed in Exhibit A - “Work Exclusions”. All components of the System will comply with UL listing standards.

Compensation
补偿
a. Contract Price. Contractor shall receive a total Contract Price of $__________ (“Contract Price”), payable per standard Progress Payment Schedule in Exhibit D. Contractor shall not be required to advance or front any material, equipment, permit fees, or labor costs. The Contract Price includes building permit fees, but exclude municipal, state or utility rebates or tax incentives as described in the proposal.

i. Down Payment: 10% of the entire contract cost is due upon signing this Agreement.

ii. Payments: Payment to Contractor may be made by cash, check or wire transfer. Payments shall be due immediately upon the invoice date. Owner shall not withhold or delay payments due to third-party financing, utility delays, or changes in tax status. All payments shall be made in accordance with the agreed milestone schedule prior to procurement or construction activities.

iii. Finance Charge: Interest shall accrue on any past due balance owed at the rate of 1.5% per month (or the highest rate not prohibited by law, whichever is lower) beginning on the 16th day after receipt of the invoice by Owner. This remedy shall be in addition to, and not exclusive of, any other remedy available under this Agreement or applicable law.

iv. Installation Appointment: Contractor requires forty-eight (48) hours notice to change the installation appointment date. Owner will be charged $5,000.00 for changing the installation appointment date with less than forty-eight (48) hours notice due to costs Contractor will incur as a result of rescheduling installation crews.

v. Equipment Delivery: Delivery of material will occur in advance of the commencement of installation. While Contractor will make every effort to deliver the material as close to the commencement of installation as possible, delivery may occur up to 3-5 days prior to commencement of installation. If Owner cannot accept this delivery of materials prior to commencement of installation, an additional fee of $1,000.00 per attempt will be charged due to increased handling fees

b. Cost Reimbursement. If Client terminates the Agreement before NTP (Notice to Proceed), Contractor shall be entitled to full reimbursement of all development costs and a termination fee equal to 15% of the unpaid contract value.

Notwithstanding the foregoing, if the actual, documented out-of-pocket costs and expenses incurred by Contractor (including, but not limited to, design, engineering, permitting, procurement deposits, and third-party consultant fees) exceed the compensation set forth in this Section 3.b, Client shall reimburse Contractor for such reasonable and verifiable excess costs within thirty (30) days of written demand, together with supporting documentation.

Project Ownership and Intellectual Property. All materials, applications, reports, and designs prepared by Contractor (the “Intellectual Property”) shall remain the sole and exclusive property of Contractor unless and until the project proceeds to NTP and Contractor is awarded the EPC scope. Upon NTP, and subject to all development and EPC payments being made, the Intellectual Property shall be transferred to Owner solely for the use on the subject property. If Contractor is not awarded EPC scope, a buy-out fee of $250,000.00 for the Intellectual Property shall be payable by Client prior to any use, transfer, or reference of said materials.

Start and Completion of Work. The Work to be performed under this Agreement shall be commenced on approximately ___________, as long as any required building permits are received and any agreed upon funds are paid to Contractor. The Work shall be substantially completed by approximately ______________, subject to permissible delays as defined in this Agreement. For purposes of this Agreement, “substantially complete” means the time when all construction work is completed so the System can be beneficially used for its intended purpose excluding activities within government control such as building permit inspection sign-off

Substitution of Like Product. In the event that any specified material or equipment becomes unavailable either temporarily or permanently after the Agreement is executed, provided that such availability is a result of factors beyond Contractor’s control, then in the event of temporary unavailability, the Agreement time shall be extended to reflect the duration of time that Contractor is delayed by the unavailability, and in the case of permanent unavailability, Contractor shall be excused from providing said material or equipment and allowed to provide an available substitute. To the extent an available substitute is provided by Contractor under this provision, any increase in the cost between the originally specified material and equipment and the substitute shall be paid by Owner to Contractor

Unforeseen Property Conditions. Within thirty (30) days of discovery, Contractor shall notify Owner in writing of the unforeseen property conditions, defined below, that cannot be reasonably anticipated or expected, including but not limited to the (i) subsurface or latent physical conditions at the Property differing materially from those indicated in this Agreement or (ii) previously unknown physical conditions at the Property of an unusual nature or differing materially from those ordinarily encountered and generally recognized as inherent in work of the character provided for in this Agreement (collectively, “Unforeseen Property Conditions”). In the event that any Unforeseen Property Conditions cause the Contractor to incur additional expense or delay the progress of the Work, Contractor shall be entitled to an equitable adjustment in the Contract Price and the Work Schedule, as applicable.

Changes to Legal Requirements. The Contract Price or the Work Schedule shall be adjusted to compensate Contractor for the effects of any change to a legal requirement that occurs after the date of this Agreement and as a result of such change, the performance of the Work is adversely affected. Such effects may include, without limitation, revisions Contractor is required to make to the Agreement and/or Project because of a change to a legal requirement. The Owner agrees to compensate the Owner for the actual costs related to the Changes of the legal requirements described herein.

Drawings, Specifications, Permits, and Fees. The System will be constructed according to drawings, specifications and other documents, that have been examined by Owner and Contractor and that have been or may be signed (or initialed) by the Parties. Unless otherwise specifically provided in the drawings or specifications, Contractor will obtain and pay for all required building permits for the construction, use or occupancy of permanent structures in existing structures. These drawings and specifications are intended to supplement one another and are incorporated by reference to this Agreement. In the event of a conflict, however, the specifications shall control the drawings, and this Agreement shall control both.

Limited Warranty. Contractor warrants the System and its Work under this Agreement as set forth in Exhibit C – “ Limited Warranty”. Contractor passes through the manufacturer warranties for the PV modules, storage system, energy software management and inverters, but does not separately warrant those products.

Insurance Coverage.

Contractor’s Obligations: Contractor shall carry workers’ compensation insurance for all employees during the progress of the Work and commercial general liability insurance to cover any damages to Owner’s property resulting out of the acts of Contractor and its employees.

Owner’s Obligations: Owner shall obtain and pay for insurance against injury to his own employees and persons under persons on the job site at Owner’s invitation. Owner shall also procure at its own expense and before the commencement of Work hereunder “all-risk” insurance with course of construction, theft, vandalism and malicious mischief endorsements attached, the insurance to be in a sum at least equal to the Contract Price. The insurance shall name Contractor and any subcontractors as additional insureds, and will be written to protect Owner, Contractor and subcontractors as their interests may appear.

Mutual Obligations: Owner and Contractor waive rights of subrogation against each other to the extent that any loss is covered by valid and collective insurance. If the project is destroyed or damages by accident, disaster, or calamity such as fire, storm, flood, landslide, or earthquake, Owner shall pay for the Work done by Contractor in rebuilding or restoring the project.

Force Majeure. Contractor shall be excused from any delay in the completion of the Work to be performed under this Agreement due to all causes beyond its reasonable control, including, but not limited to, acts of God, fires, weather-related delays, strikes, government restrictions, actions or omission of governmental agencies (including the denial or cancellation of any necessary license or permit for the project), embargoes, labor disputes or acts of war.

Inspections, Building Department and Engineering Requirements. Contractor will coordinate and attend local building department inspections as needed. Owner is expected to be at the final utility inspection if requested by the utility company.

Owner’s Responsibilities and Representations.

Installation: Owner is responsible for making the Property ready and in the condition where the Contractor is able to perform the Services. During Installation, Owner shall not move, remove, modify, alter, or change in any way the equipment or any part thereof without the prior written approval of Contractor. Notwithstanding the foregoing, Owner shall take reasonable steps to protect the System from damage or injury if, due to an emergency, it is not possible or reasonable to notify Contractor before taking any such actions.

Unanticipated Work: Owner is solely responsible for the coordination and expense of any unanticipated work during installation due to subsurface or Unforeseen Property Conditions, defined in Section 8, which differ from those described in the proposal, this Agreement or a Change Order.

Tree Removal: If necessary or desired to improve the performance of the System, tree removal is the sole responsibility of the Owner.

Other: Owner agrees to the placement of the Contractor’s sign as advertisement on the property for a period of three months following the completion of the installation.

Estimates Only: Owner acknowledges that any and all representations by the Contractor regarding the System’s estimated energy and/or monetary savings, energy arbitrage and amount of back-up energy supply to be provided by the System are estimates only. The actual benefits will depend upon the environmental conditions at the Property and the rates and other policies provided by Owner’s utility service provider. For example, the actual benefits from the System may depend upon: i) any changes to Owner’s electricity rates over the life of the System, such as changes related to utility policies and/or regulatory changes; ii) the performance of the System’s batteries, software and other components under future weather conditions experienced at the Property; and iii) any changes in applicable governmental policies and laws related to the System.

Cleanup. Contractor shall keep the project free from accumulation of debris, waste materials, or rubbish caused by its Work. On completion of the Work, Contractor will remove all debris, waste materials, rubbish, and surplus material from Owner’s property and will thoroughly clean the project, leaving it in a neat and broom-clean condition. If Contractor fails to clean up, Owner may do so at Contractor’s expense.

Hazardous Materials. The Scope of Work to be performed by the Contractor pursuant to the Agreement, and the compensation to be paid to the Contractor pursuant to this Agreement and the associated contract documents, expressly excludes Work of any nature associated or connected with the identification, abatement, cleanup, control, or removal of environmentally Hazardous Materials. The term “Hazardous Materials” includes, but is not limited to, heavy metals, asbestos, and PCBs discovered in or on the Property.

Limitation of Usage of Photos of the Property. Owner does grant Contractor the irrevocable right and permission to photograph the exterior of the Property for the duration of Contractor’s Work, and to use, reuse, and publish, in any manner, such photographs, in whole or in part, either by themselves or in conjunction with other photographs, in any medium or form of distribution, and for any commercial or promotional purpose whatsoever; provided that upon Owner’s request that Contractor cease using such photograph(s) Contractor will use reasonable efforts to cease such use within a reasonable period of time.

Mutual limitation of liability. The sole and exclusive liability of either Party, and the sole and exclusive remedy of the other Party, for any claim arising out of or related to this Agreement—including but not limited to defective or nonconforming work, materials, or breach of contract—shall be strictly limited to the repair, replacement, or re-performance of the specific portion of the Work proven to be defective due to that Party’s sole fault or negligence. Such remedy shall only apply if written notice of the claim is provided within ten (10) business days of discovery, and the responsible Party fails to commence cure within thirty (30) business days thereafter (the “Cure Period”), subject to extension for delays beyond reasonable control. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF USE, BUSINESS INTERRUPTION, OR DIMINUTION OF PROPERTY VALUE. The total cumulative liability of either Party under this Agreement, whether in contract, tort, or otherwise, shall not exceed fifteen percent (15%) of the Contract Price

Indemnification. To the fullest extent permitted by law, each Party to this Agreement (“Indemnifying Party”) shall indemnify and hold harmless the other Party, its officers, directors, shareholders, employees and agents (each, an “Indemnified Party”), from and against all loss, cost, liability, claims and expenses, including but not limited to attorneys' fees and disbursements, to the extent arising out of or resulting from the actions or omissions of Indemnifying Party and its agents, guests and family members which are negligent, wrongful or in breach of this Agreement, except to the extent such injury or harm is caused by the Indemnified Party’s willful misconduct, negligence or breach of this Agreement. The foregoing shall not be limited to or by any insurance coverage which may be in force or required to be in force.

Applicable Law; Attorneys’ Fees. The laws of the State of California and rules and regulations issued pursuant thereto shall be applied in the interpretation, execution, and enforcement of this Agreement. In any legal proceeding arising from this Agreement, the Prevailing Party shall be entitled to the award of its reasonable costs and attorneys’ fees incurred in connection with such proceedings. The “Prevailing Party" shall mean the Party that received substantially the relief requested, whether by settlement, dismissal, summary judgment, mediation, arbitration, judgment or otherwise

Dispute Resolution; Mediation & Arbitration. Any controversy or claim arising out of or relating to this Agreement, or breach thereof, shall be settled by mediation under the Commercial Construction Mediation Procedures of the American Arbitration Association. If a Party fails to respond to a written request for mediation within 30 days after service or fails to participate in any scheduled mediation conference, that Party shall be deemed to have waived its right to mediate the issues in dispute. If the mediation does not result in settlement of the dispute within 30 days after the initial mediation conference or if a Party has waived its right to mediate any issues in dispute, then any unresolved controversy or claim arising out of or relating to this Agreement or breach thereof shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Construction Arbitration Rules and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The place of arbitration shall be located in Los Angeles City, Los Angeles County, California, U.S.A.

Termination and Suspension. Either Party may terminate this Agreement with written notice if the other materially breaches its obligations and fails to cure within 30 days. Client may suspend the Project with at least fifteen (15) business days’ prior written notice, subject to Contractor’s written consent. The initial suspension period shall not exceed sixty (60) days. Any extension beyond sixty (60) days requires mutual written agreement. If the suspension continues beyond ninety (90) days from the original notice date, and no resumption notice has been issued and accepted by Contractor, Contractor shall have the option, upon 10 days’ additional written notice, to elect to terminate the Agreement and be entitled to compensation as per Section 3.b.

Should the Client wish to resume the Project after a suspension exceeding thirty (30) days, Client shall provide Contractor with at least fifteen (15) business days’ written notice. Contractor shall be entitled to reasonable compensation for any remobilization costs. Contractor shall retain all fees earned and work product developed through the suspension date and shall be entitled to recover all documented costs, losses, or damages reasonably incurred as a result of demobilization or project termination

Complete Agreement. This Agreement, including Exhibits A through D, constitutes the entire agreement of the Parties. No other agreements, oral or written, pertaining to the Work to be performed under this Agreement exists between the Parties. This Agreement can be modified only by an agreement in writing signed by both Parties. This Agreement may be executed in any number of counterparts, each of which when so executed and delivered shall be deemed an original and all of which counterparts, taken together, shall constitute one and the same instrument.

WORK EXCLUSIONS

附件 B
条款与条件
除协议及所附提案中规定的规格、详细说明和工作范围外,双方另行约定如下:
估算。 光伏系统输出量、装修带来的预估能源和货币节省、系统组件、回扣、税收抵免和其他财务激励措施仅为估算值,且基于承包商无法控制的因素。
合作。 业主及其代理应迅速且全面地合作,提供所有合理必要的信息、签名和文件,以协助获取必要的许可证、回扣文件和公用事业公司批准。此类合作应是承包商履行本协议中项目时间表义务的先决条件。
设备所有权与移除权。 承包商可选择移除价值相当于本协议项下任何到期未付款项的材料部分,该款项在收到适当发票后九十(90)天内仍未支付,且此行为不限制承包商在本协议中的权利。
工作开始。 当安装系统上的工作已经展开时,承包商应已实质性地开始了工作。
融资。 如果本协议的全部或任何部分要通过金融机构融资,业主和承包商可以将其在本协议项下的权利转让给此类机构,而无需考虑未经另一方同意不得转让的限制。业主和承包商将制定、签署并交付贷款人为此目的合理要求的所有表格。

既有状况。 业主确认,本协议购买的设备的正常运行可能取决于业主的现有设备,承包商对未在本协议下购买的设备不承担任何责任。虽然承包商将尽一切应有的谨慎,但承包商不对任何屋顶的既有状况负责,也不对因屋顶上的正常材料处理程序而加剧的此类既有状况所造成的损害或问题负责。

附件 C
有限保修

使用承包商未书面提供或授权的零件或服务进行的任何维修或更换。
由承包商绝对判断认为是由客户或第三方滥用、事故、改动、不当维护或安装、原有屋顶状况、非承包商或授权承包商代表以外的人员拆除、误用、疏忽或故意破坏、骚乱、动物损坏或环境污染(如烟尘、盐害或酸雨),或地震、火灾、洪水、大风或结冰积聚等极端天气条件,或其他不可抗力或承包商无法控制的其他不可预见情况所造成的损害。
型号或序列号被更改、移除或无法辨认的系统。
系统安装在移动或海洋环境中。
因正常磨损造成的 cosmetic defects,如变色或划痕。
